13.1 <br />13.2 <br />13.3 <br />13.4 <br />13.5 <br />ARTICLE 13 <br />MISCELLANEOUS AGREEMENTS <br />Entire Agreement <br />This Agreement, including the Exhibits, represents the full and entire Agreement <br />between the parties with respect to the matters covered herein. No verbal agreement or <br />conversation with any office, agent, or employee of the City, either before, during, or <br />after the execution of this contract, shall affect or modify any of the terms or obligations <br />herein contained nor such verbal agreement or conversation entitle the Contractor to <br />any additional payment whatsoever under the terms of this contract. <br />Section Headings <br />The article headings and section headings in this Agreement are for convenience of <br />reference only and are not intended to be used in the construction of this Agreement <br />nor to alter or affect any of its provisions. <br />References to Laws and Other Agreements <br />All references in this Agreement to laws shall be understood to include such laws as <br />they may be subsequently amended or recodified, unless otherwise specifically <br />provided. This Agreement supersedes any and all agreements heretofore entered into <br />by the parties and City. <br />Interpretation <br />This Agreement, including the Exhibits attached hereto, shall be interpreted and <br />construed reasonably and neither for nor against either party, regardless of the degree <br />to which either party participated in its drafting. <br />Agreement <br />This Agreement may not be modified or amended in any respect except by a writing <br />signed by the parties. <br />March 9, 2020 60 14�131 City of Santa Ana - DRAFT <br />
