1 <br />2 <br />3 <br />4 <br />5 <br />6 <br />7 <br />8 <br />9 <br />to <br />11 <br />12 <br />13 <br />144 <br />15 <br />16 <br />17 <br />18 <br />19 <br />20 <br />21 <br />22 <br />23 <br />24 <br />25 <br />26 <br />27 <br />28 <br />26.4 CONTRACTOR agrees that any and all subcontracts entered into shall <br />be subject to the confidentiality requirements of this Agreement, <br />26.5 Attorney Client Confidentiality Requirements; In the event <br />CONTRACTOR is a legal assistance provider, nothing in this Agreement shall <br />allow COUNTY or the State of California to engage in any conduct that would <br />impair the attorney -client relationship between CONTRACTOR and its clients, as <br />that relationship is customarily defined in the legal community; and, in <br />particular, nothing herein shall require CONTRACTOR to reveal attorney -client <br />privileged information, nor allow COUNTY or the State to interfere with any <br />other legal and ethical duties CONTRACTOR owes to its clients. To the extent <br />COUNTY, in fulfilling its contractual obligations and/or its obligations under <br />State or Federal law, finds it necessary to examine documents or files <br />prepared by CONTRACTOR in the course of its confidential relationships with <br />its clients, CONTRACTOR may delete information which would identify clients <br />from such documents or files before they are examined by COUNTY. <br />27. COPYRIGHT ACCESS <br />The Department of Health and Human Services, the California Department <br />of Social Services, and COUNTY shall have a royalty -free, nonexclusive and <br />irrevocable license to publish, translate, or use, now and hereafter, all <br />material developed under this Agreement including those covered by copyright. <br />28. WAIVER <br />No delay or omission by either party hereto to exercise any right or <br />power accruing upon any noncompliance or default by the other party With <br />respect to any of the terms of this Agreement shall impair any such right or <br />power or be construed to be a waiver thereof. A waiver by either of the <br />parties hereto of any of the covenants, conditions, or agreements to be <br />performed by the other shall not be construed to be a waiver of any succeeding <br />breach thereof or of any other covenant, condition or agreement herein <br />(FNI102091 <br />04 of 40 <br />(3/18/09) <br />
