Whenever in the administration of the trusts imposed upon it by this <br /> Indenture the Trustee shall deem it necessary or desirable that a matter be proved or <br /> established prior to taking or suffering any action hereunder, such matter (unless other <br /> evidence in respect thereof be herein specifically prescribed) may be deemed <br /> to be conclusively proved and established by a Certificate of the Authority, and such <br /> Certificate shall be full warranty to the Trustee for any action taken or suffered in good <br /> faith under the provisions of this Indenture in reliance upon such Certificate, but in its <br /> discretion the Trustee may, in lieu thereof, accept other evidence of such matter or may <br /> require such additional evidence as to it may seem reasonable. <br /> SECTION 7.07. Preservation and Inspection of Documents. All <br /> documents received by the Trustee under the provisions of this Indenture shall be retained <br /> in its possession and shall be subject at all reasonable times with prior notice to the <br /> inspection of the Authority and any Owner of at least 10% in aggregate principal amount of <br /> the Bonds and their agents and representatives duly authorized in writing, at reasonable <br /> hours and under reasonable conditions. <br /> ARTICLE VIII <br /> AMENDMENT OF THE INDENTURE <br /> SECTION 8.01. Amendment of the Indenture. The Indenture and the <br /> rights and obligations of the Authority and of the Owners may be amended at any time by a <br /> Supplemental Indenture which shall become binding when the written consents of the <br /> Owners of at least sixty percent (60%) in aggregate principal amount of Bond Obligation, <br /> exclusive of Bonds disqualified as provided in Section 8.02, and the written consent of the <br /> Bond Insurer are filed with the Trustee. No such amendment shall (1) extend the maturity <br /> of or reduce the interest rate on or otherwise alter or impair the obligation of the Authority <br /> to pay the interest on or principal of or redemption premium, if any, on any Bond at the <br /> time and place and at the rate and in the currency provided herein without the express <br /> written consent of the Owner of such Bond, or (2) permit the creation by the Authority of <br /> any pledge of the Revenues as provided herein superior to or on a parity with the pledge <br /> created hereby for the benefit of the Bonds, or (3) increase the dollar amount appearing in <br /> clause (d) of Section 3.01, or (4) modify any rights or obligations of the Trustee without its <br /> prior written assent thereto. <br /> The Indenture and the rights and obligations of the Authority and of the <br /> Owners may also be amended at any time by a Supplemental Indenture which shall become <br /> binding upon adoption without the consent of any Owners, but only to the extent permitted <br /> by law and after receipt of an approving Opinion of Counsel and only for any one or more <br /> of the following purposes -- <br /> (a) to make such provisions for the purpose of curing any ambiguity or of <br /> correcting, curing or supplementing any defective provision contained herein or in <br /> regard to questions arising hereunder which the Authority may deem desirable or <br /> LA1-63221.5 49 <br />
