<br /> purposes be deemed to be an original; and all such counterparts, or as many of them as the
<br /> Authority and the Trustee shall preserve undestroyed, shall together constitute but one and
<br /> the same instrument.
<br /> SECTION 11.14. Law Governing. This Indenture shall be governed
<br /> exclusively by the provisions hereof and by the laws of the State as the same from time to
<br /> time exist.
<br /> SECTION 11.15. Notice to Bond Insurer. Whenever any notice,
<br /> authorization, request, certificate or demand is required or permitted to be given to any
<br /> party or to any Owner pursuant to this Indenture, such notice, authorization, request,
<br /> certificate or demand shall also be given in writing to the Bond Insurer, by first class mail
<br /> at the address specified by such Bond Insurer. The Trustee shall notify the Bond Insurer of
<br /> any known failure of the Agency to provide to the Trustee relevant notices, certificates,
<br /> reports or other documents hereunder. Notwithstanding any other provision hereof, the
<br /> Trustee shall notify the Bond Insurer immediately if at any time there are insufficient
<br /> moneys to make any payments of principal or interest as required hereunder and
<br /> immediately upon the Trustee having actual knowledge of the occurrence of any Event of
<br /> Default or any event, which with the passage of time could become an Event of Default.
<br /> The Agency and the Trustee agree to provide the Bond Insurer with any additional
<br /> information concerning the Bonds as the Bond Insurer may reasonably request.
<br /> SECTION 11.16. Notices. All approvals, authorizations, consents,
<br /> demands, designations, notices, offers, requests, statements or other communications
<br /> hereunder by either party to the other shall be in writing and shall be sufficiently given and
<br /> served upon the other party if delivered personally or if mailed by United States registered
<br /> or certified mail, return receipt requested, postage prepaid, and, if to the City, addressed to
<br /> the City do City of Santa Ana, 20 Civic Center Plaza, Santa Ana, California 92702,
<br /> Attention: City Manager, or, if to the Authority, addressed to the Authority c/o Santa Ana
<br /> Financing Authority, 20 Civic Center Plaza, Santa Ana, California 92702, Attention:
<br /> Executive Director, with a copy to the Trustee, addressed to the Trustee do Meridian Trust
<br /> Company of California, 650 California Street, Eighth Floor, San Francisco, California
<br /> 94108, Attention: Corporate Trust Department, or if to the Bond Insurer: Municipal Bond
<br /> Investors Assurance Company, 113 King Street, Armonk, New York 10504, or to such
<br /> other addresses as the respective parties may from time to time designate by notice in
<br /> writing.
