"Service Charge Rate" shall mean, on any Auction Date, the sum of: (i) the <br /> rate at which the Broker-Dealer Fee accrues on such Auction Date and (ii) the rate at which <br /> the Auction Agent Fee accrues on such Auction Date. <br /> "State" shall mean the State of California. <br /> "Statutory Corporate Tax Rate" shall mean, as of any date of determination, <br /> the highest tax rate bracket (expressed in decimals) now or hereafter applicable in each <br /> taxable year on the taxable income of every corporation as set forth in Section 11 of the <br /> Code or any successor section, without regard to any minimum additional tax provision or <br /> provisions regarding changes in rates during a taxable year; the Statutory Corporate Tax <br /> Rate as of the Closing Date is 35%. <br /> "Substitute Auction Agent" shall mean the person with whom the Trustee <br /> enters into a Substitute Auction Agent Agreement. <br /> "Substitute Auction Agent Agreement" shall mean an auction agent agreement <br /> containing terms substantially similar to the terms of the Initial Auction Agent Agreement, <br /> whereby a person having the qualifications required by Section 11 of this Appendix agrees <br /> with the Trustee to perform the duties of the Auction Agent herein. <br /> "Substitute Market Agent" shall mean the person with whom the Trustee <br /> enters into a Substitute Market Agent Agreement. <br /> "Substitute Market Agent Agreement" shall mean a market agent agreement <br /> containing terms substantially similar to the terms of the Initial Market Agent Agreement, <br /> whereby a person having the qualifications required by Section 10 of this Appendix agrees <br /> with the Trustee to perform the duties of the Market Agent herein. <br /> "Tender Date" shall have the meaning set forth in Section 9(a) of this <br /> Appendix. <br /> "Tender Demand" shall have the meaning set forth in Section 9(b) of this <br /> Appendix. <br /> "Tender Notice" shall have the meaning set forth in Section 9(c) of this <br /> Appendix. <br /> "Tender Price" shall have the meaning set forth in Section 9(a) of this <br /> Appendix. <br /> "Weighted Average Applicable Factor" shall mean for any calculation period <br /> with respect to Regular ARS, Regular IRS, Newly Fixed AIRS and Regular Fixed AIRS, as <br /> the case may be, (i) the sum of the Applicable Factors in effect on each day during the <br /> LAI-63221.5 A_10 <br />
