Section 4.06. Right of Entry. The City reserves the right for any of its duly <br /> authorized representatives to enter upon the Parcels at any reasonable time to inspect the same <br /> or to make any repairs, improvements or changes necessary for the preservation thereof. <br /> ARTICLE V <br /> ASSIGNMENT, SUBLEASING, MORTGAGING AND SELLING <br /> Section 5.01. Assignment and Subleasing. The Authority may assign any or <br /> all of its rights hereunder to the Trustee appointed pursuant to the Indenture. <br /> Section 5.02. Restrictions on City. The City agrees that, except as may be <br /> permitted under the Lease, it will not mortgage, sell, encumber, assign, transfer or convey the <br /> Parcels or any portion thereof during the term of this Ground Lease. <br /> ARTICLE VI <br /> IMPROVEMENTS <br /> Title to all improvements made on the Parcels during the term hereof shall vest <br /> in the City. <br /> ARTICLE VII <br /> TERM <br /> The term of this Ground Lease shall commence as of the date of commencement <br /> of the term of the Lease and shall remain in full force and effect from such date to and <br /> including the Termination Date. <br /> ARTICLE VIII <br /> MISCELLANEOUS <br /> Section 8.01. Binding Effect. This Ground J ease shall inure to the benefit of <br /> and shall be binding upon the City, the Authority and their respective successors and assigns. <br /> Section 8.02. Severability. In the event any provision of this Ground Lease <br /> shall be held invalid or unenforceable by any court of competent jurisdiction, such holding shall <br /> not invalidate or render unenforceable any other provision hereof. <br /> Section 8.03. Amendments, Changes and Modifications. This Ground Lease <br /> may not be effectively amended, changed, modified, altered or terminated except as provided <br /> in the Jr.ase. <br /> LAI-63222.2 3 <br />
