ARTICLE V <br /> RENTAL PAYMENTS <br /> SECTION 5.01. Rental Payments. The City agrees to pay to the Authority, its <br /> successors or assigns, without deduction or offset of any kind, as rental for the use and <br /> occupancy of the Leased Property, the following amounts at the following times: <br /> (a) Base Rental. The City shall pay to the Authority as Base Rental hereunder <br /> rental payments with interest and principal components in accordance with the Base Rental <br /> Payment Schedule set forth in Exhibit B attached hereto and made a part hereof. Each Base <br /> Rental payment shall be due in each year on January 1 and July I, beginning on <br /> January 1, 1995, and continuing until the end of the term hereof, and shall be payable on the <br /> fifteenth day of the month immediately preceding its due date, and any interest or other income <br /> with respect thereto accruing prior to such due date shall belong to the City and shall be returned <br /> by the Authority to the City. The City shall receive a credit against its Base Rental hereunder <br /> to the extent of any transfers from the Capitalized Interest Account to the Interest Account under <br /> the Indenture. The interest components of the Base Rental payable by the City hereunder shall <br /> be paid by the City as and shall constitute interest paid on the principal components of the Base <br /> Rental payable by the City hereunder. <br /> Payment of Base Rental and Additional Rental for each rental payment period <br /> during the term hereof shall constitute the total rental for such rental payment period, and shall <br /> be paid by the City in each rental payment period for and in consideration of the right to the use <br /> and occupancy, and the continued quiet enjoyment, of the Leased Property during the rental <br /> payment period for which such rental is paid. <br /> The City shall provide written notice to the Trustee and the Authority at least five <br /> (5) Business Days prior to any Interest Payment Date upon which the City expects to be unable <br /> to appropriate and pay the Base Rental payment due on such Interest Payment Date, informing <br /> the Trustee and the Authority of such inability to appropriate and pay. <br /> If the term of this Lease shall have been extended pursuant to Section 3.01, Base <br /> Rental payments shall continue to be due on January 1 and July 1 in each year, and payable as <br /> hereinabove described, continuing to and including the date of termination of this Lease, in an <br /> amount equal to the amount of Base Rental payable for the twelve-month period commencing <br /> July 1, 2023. Upon such extension of this Lease, the principal and interest components of the <br /> Base Rental shall be established so that the principal components will in the aggregate be <br /> sufficient to pay all unpaid principal components with interest components sufficient to pay all <br /> unpaid interest components plus interest on the extended principal components at a rate equal <br /> to the rate of interest on the principal component of the Base Rental payable on July 1, 2024. <br /> The parties hereto have agreed and determined that the Base Rental payments <br /> shown in the Base Rental Payment Schedule set forth in Exhibit B hereto represent the fair rental <br /> value of the Leased Property.
