(8) Trustee' s Certificate. A certificate, dated the date of Closing, signed by a duly authorized official of the Trustee satisfactory in form and substance to the Representative, to the effect that : (i) The Trustee is duly organized and existing as a banking corporation under the laws of the State of California, having the full corporate power and authority to enter into and perform its duties under the Trustee Documents; (ii) The Trustee is duly authorized to enter into the Trustee Documents and has duly executed and delivered the Trustee Documents, and assuming due authorization and execution by the other parties thereto, the Trustee Documents are legal, valid and binding upon the Trustee, and enforceable against the Trustee in accordance with their terms; (iii) The Trustee had duly authenticated and delivered the Bonds to or upon the order of the Representative; and (iv) No consent, approval, authorization or other action by any governmental or regulatory authority having jurisdiction over the banking or trust powers of the Trustee that has not been obtained is or will be required for the execution and delivery of the Bonds or the consummation by the Trustee of its obligations under the Trustee Documents. (9) Transcripts. Two transcripts of all proceedings relating to the issuance of the Bonds. (10) Official Statement. The Official Statement and each supplement or amendment, if any, thereto, executed on behalf of the Authority by duly authorized officers of the Authority. (11) Documents . An original executed copy of each of the City Documents and each of the Authority Documents and a certified copy of the JPA Agreement. (12) Authority Resolution. Two certified copies of the Authority Resolution, certified by the Authority Secretary. (13) City Resolution. Two certified copies of the City Resolution, certified by the City Clerk. 24
