(8) Trustee' s Certificate. A certificate, dated <br /> the date of Closing, signed by a duly authorized <br /> official of the Trustee satisfactory in form and <br /> substance to the Representative, to the effect that : <br /> (i) The Trustee is duly organized and <br /> existing as a banking corporation under the laws <br /> of the State of California, having the full <br /> corporate power and authority to enter into and <br /> perform its duties under the Trustee Documents; <br /> (ii) The Trustee is duly authorized to enter <br /> into the Trustee Documents and has duly executed <br /> and delivered the Trustee Documents, and assuming <br /> due authorization and execution by the other <br /> parties thereto, the Trustee Documents are legal, <br /> valid and binding upon the Trustee, and <br /> enforceable against the Trustee in accordance with <br /> their terms; <br /> (iii) The Trustee had duly authenticated and <br /> delivered the Bonds to or upon the order of the <br /> Representative; and <br /> (iv) No consent, approval, authorization or <br /> other action by any governmental or regulatory <br /> authority having jurisdiction over the banking or <br /> trust powers of the Trustee that has not been <br /> obtained is or will be required for the execution <br /> and delivery of the Bonds or the consummation by <br /> the Trustee of its obligations under the Trustee <br /> Documents. <br /> (9) Transcripts. Two transcripts of all <br /> proceedings relating to the issuance of the Bonds. <br /> (10) Official Statement. The Official Statement <br /> and each supplement or amendment, if any, thereto, <br /> executed on behalf of the Authority by duly authorized <br /> officers of the Authority. <br /> (11) Documents . An original executed copy of each <br /> of the City Documents and each of the Authority <br /> Documents and a certified copy of the JPA Agreement. <br /> (12) Authority Resolution. Two certified copies <br /> of the Authority Resolution, certified by the Authority <br /> Secretary. <br /> (13) City Resolution. Two certified copies of the <br /> City Resolution, certified by the City Clerk. <br /> 24 <br />
