"Interest Payment Date" shall mean January 1, 1995, semi-annually thereafter on <br /> each January 1 and July 1 and at maturity; provided, however, that if any such day is not a <br /> Business Day, interest due on such day shall be paid on the next succeeding Business Day <br /> without accrual of any additional interest. <br /> "Notice of Conversion" shall mean a notice to the Securities Depository <br /> substantially in the form of Exhibit E hereto. <br /> "Notice of ARS Not Fixed" shall mean a notice substantially in the form of Exhibit <br /> G hereto. <br /> "Notice of Failure to Deliver" shall mean a notice substantially in the form of <br /> Exhibit D to the Broker-Dealer Agreement. <br /> "Notice of Failure to Receive Certificate" shall mean a notice substantially in the <br /> form of Exhibit H hereto. <br /> "Notice of Failure to Receive Opinion" shall mean a notice substantially in the <br /> form of Exhibit I hereto. <br /> "Notice of Payment Default" shall mean a notice substantially in the form of <br /> Exhibit J hereto. <br /> "Notice of Fee Rate Change" shall mean a notice substantially in the form of <br /> Exhibit F hereto. <br /> "Notice of Transfer" shall mean a notice substantially in the form of Exhibit C to <br /> the Broker-Dealer Agreement. <br /> "Participant" shall mean a person who is a participant in or member of the <br /> Securities Depository, as determined by the rules or bylaws of the Securities Depository. <br /> "Purchaser's Letter" shall mean a letter addressed to the Auction Agent, a <br /> Broker-Dealer and a Participant, in the form of Exhibit D hereto. <br /> "Record Date" shall mean, the Business Day next preceding each Interest Payment <br /> Date. <br /> "Representation Letter" shall mean the letter of representations from the <br /> Authority, the Trustee and the Auction Agent to The Depository Trust Company dated as of <br /> March 23, 1994 relating to the ARS and IRS. <br /> "Request to Fix" shall mean a notice substantially in the form of Exhibit E to the <br /> Broker-Dealer Agreement. <br /> "Request to Separate" shall mean a notice substantially in the form of Exhibit F to <br /> the Broker-Dealer Agreement. <br /> IA1 69756.2 3 <br />
