Capitalpp <br /> "Event of Default" shall have the meaning given to such term under the caption "Events of Default". <br /> "Federal Securities" means any direct obligations of the United States of America (including obligations <br /> issued or held in book-entry form on the books of the Department of the Treasury of the United States of <br /> America) or obligations the principal of and interest on which are unconditionally guaranteed by the United <br /> States of America. <br /> "Financial Newspaper" means The Wall Street Journal or The Bond Buyer or, if neither is then in <br /> print, any other newspaper or journal printed in the English language publishing financial news and selected by <br /> the Trustee, whose decision shall be final and conclusive. <br /> "Indenture" means the Indenture, dated as of March 1, 1994, between the Authority and the Trustee, as <br /> originally executed and as it may from time to time be amended or supplemented by all Supplemental Indentures <br /> executed pursuant to the provisions thereof. <br /> "Information Services" means Financial Information, Inc.'s "Daily Called Bond Service," 30 <br /> Montgomery Street, 10th Floor, Jersey City, New Jersey 17302, Attention: Editor; Kenny Information Services' <br /> "Called Bond Service," 55 Broad Street, 28th Floor, New York, New York 10004; Moody's Investors Service's <br /> "Municipal and Government," 99 Church Street, 8th Floor, New York, New York 10007, Attention; Municipal <br /> News Reports; and Standard and Poor's Corporation's "Called Bond Record," 25 Broadway, 3rd Floor, New <br /> York, New York 10004; or, in accordance with then current guidelines of the Securities and Exchange <br /> Commission, to such other addresses and/or such other services providing information with respect to called <br /> bonds, or to such services as the Authority may designate in a Certificate of the Authority delivered to the <br /> Trustee. <br /> "Interest Payment Date" means each January 1 and July 1, commencing January 1, 1995. <br /> "Investment Agreement" means an investment agreement or guaranteed investment contract by and <br /> between the Trustee and a national or state chartered bank or savings and loan institution (including the Trustee) <br /> or other financial institution the long-term debt obligations of which are rated at the time of execution thereof <br /> "AA" or higher by Standard & Poor's Corporation and "Aa" or higher by Moody's Investors Service. Each <br /> Investment Agreement shall provide, among other matters, that the Trustee may immediately withdraw all funds <br /> or other collateral that are the subject thereof upon any downgrading of such ratings and that such agreement <br /> shall have been reviewed prior to the execution thereof by Standard &Poor's Corporation and Moody's <br /> Investors Service. Any such Investment Agreement must be approved in writing by the Bond Insurer. <br /> "Lease" means the Lease, dated as of March 1, 1994, entered into between the Authority, as lessor, <br /> and the City, as lessee, as originally executed and as it may from time to time be amended or supplemented <br /> pursuant to the provisions thereof and of the Indenture. <br /> "Maximum Annual Debt Service" means, as of the date of calculation, the greatest total Annual Debt <br /> Service payable in any Bond Year during the period commencing with the then current Bond Year and <br /> terminating with the last Bond Year in which the Bonds are Outstanding. <br /> "Net Proceeds" means any insurance proceeds or condenmation award paid with respect to the Leased <br /> Property remaining after payment therefrom of all expenses incurred in the collection thereof. <br /> "Opinion of Counsel" means a written opinion of counsel of recognized national standing in the field of <br /> law relating to municipal bonds, appointed and paid by the City or the Authority. <br /> A-3 <br />
