In that connection, we have examined the <br /> record of proceedings submitted to us relative to the issuance of <br /> the Bonds and such other documents as are in our opinion necessary <br /> to enable us to express an informed opinion with respect to the <br /> following matters. Unless otherwise indicated, capitalized terms <br /> used herein have the respective meanings given to such terms in the <br /> Purchase Contract, dated March 8, 1994 (the "Purchase Contract") , <br /> by and among the Authority, the City, and Smith Barney Shearson <br /> Inc. , as representative of the underwriters. <br /> We are of the opinion that: <br /> (i) The Authority is a joint exercise of powers <br /> agency duly organized and validly existing under the <br /> constitution and the laws of the State with full right, power <br /> and authority to execute, deliver and perform its obligations <br /> CITY ATTORNEY - (714) 647-5201 FAX NO.
