regulations under the Code, (iii) the investment is a United States Treasury Security—State and Local
<br /> Government Series, that is acquired in accordance with applicable regulations of the United States
<br /> Bureau of Public Debt, or (iv) the investment is the Local Agency Investment Fund of the State off
<br /> California but only if at all times during which the investment is held its yield is reasonably expected to
<br /> be equal to or greater than the yield on a reasonably comparable direct obligation of the United States.
<br /> The Trustee shall have no duty in connection with the determination of Fair Market Value other than to
<br /> follow the investment directions of a Authorized Representative in any written directions of a
<br /> Authorized Representative.
<br /> "Federal Securities" means direct general obligations of the United States of America (including
<br /> obligations issued or held in book entry form on the books of the Department of the Treasury) or
<br /> obligations the payment of principal of and interest on which are unconditionally guaranteed by, the
<br /> United States of America.
<br /> "Fiscal Year" means any twelve-month period extending from July 1 in one calendar year to
<br /> June 30 of the succeeding calendar year,both dates inclusive, or any other twelve-month period selected
<br /> and designated by the Authority as its official fiscal year period.
<br /> "Indenture" means that certain Indenture of Trust, dated as of July 1, 1996,by and between the
<br /> Authority and the trustee, as originally executed or as it may from time to time be supplemented,
<br /> modified or amended by any Supplemental Indenture pursuant to the provisions of the Indenture.
<br /> "Independent Accountant" means any certified public accountant or firm of certified public
<br /> accountants appointed and paid by the Authority or the Member, and who, or each of whom (a) is in
<br /> fact independent and not under domination of the Authority or the Member; (b) does not have any
<br /> substantial interest, direct or indirect,in the Authority or the Member;and (c) is not connected with the
<br /> Authority or the Member as an officer or employee of the Authority or the Member but who may be
<br /> regularly retained to make annual or other audits of the books of or reports to the Authority or the
<br /> Member,
<br /> "Information Services" means Financial Information, Inc.'s "Daily Called Bond Service", 30
<br /> Montgomery Street, 10th Floor, Jersey City, NJ 07302, Attention: Editor; Kenny Information Services'
<br /> "Called Bond Service," 65 Broadway, 16th Floor, New York, NY 10006;Moody's 5250 77 Centre Drive,
<br /> Suite 150, Charlotte, NC 28217, Attention: Called Bonds Dept.; S&P's "Called Bond Record," 25
<br /> Broadway, 3rd Floor, New York, NY 10004; and, in accordance with then current guidelines of the
<br /> Securities and Exchange Commission, such other addresses and/or such other services providing
<br /> information with respect to the redemption of bonds as the Authority may designate in a Written
<br /> Certificate of the Authority delivered to the Trustee.
<br /> "Insurance and Condemnation Fund" means the fund by that name established and held by the
<br /> Trustee pursuant to the Indenture.
<br /> "Interest Account"means the account by that name established in the Bond Fund pursuant to the
<br /> Indenture.
<br /> "Interest Payment Date"means each February 1 and August 1,commencing February 1, 1997.
<br /> "Lease Agreements" means those certain Lease Agreements, each dated as of July 1, 1996,by and
<br /> between the Authority, as lessor, and each Member, as lessee, of the Leased Premises, as originally
<br /> executed and as it may from time-to time be-supplemented,-modified-or-amended in accordance with-
<br /> the terms thereof and of the Indenture.
<br /> "Lease Payment Date" means, with respect to any Interest Payment Date, the fifteenth (15th)
<br /> calendar day of the month preceding such Interest Payment Date.
<br /> "Lease Payments" means the aggregate amount of all the payments required to be paid by each
<br /> Member pursuant to its respective Lease Agreement.
