(j) The Trustee shall not be concerned with or accountable to anyone for the subsequent <br /> use or application of any moneys which shall be released or withdrawn in accordance with the <br /> provisions hereof. <br /> (k) The Trustee makes no representation or warranty, expressed or implied as to the <br /> title, value, design, compliance with specifications or legal requirements, quality, durability, <br /> operation, condition, merchantability or fitness for any particular purpose for the use <br /> contemplated by the Authority or the Members of the Leased Premises In no event shall the <br /> Trustee be liable for incidental,indirect, special or consequential damages in connection with or <br /> arising from the Lease Agreements or this Indenture for the existence, furnishing or use of the <br /> Leased Premises. <br /> Section 8.04.Right to Rely on Documents. The Trustee shall be protected in acting upon <br /> any notice, resolution, request, consent, order, certificate, report,opinion,bonds or other paper <br /> or document believed by them to be genuine and to have been signed or presented by the proper <br /> party or parties. The Trustee may consult with counsel, who may be counsel of or to the <br /> Authority,with regard to legal questions,and the opinion or advice of such counsel shall be full <br /> and complete authorization and protection in respect of any action taken or suffered by it <br /> hereunder in good faith and in accordance therewith. <br /> The Trustee may treat the Owners of the Bonds appearing in the Registration Books as <br /> the absolute owners of the Bonds for all purposes and the Trustee shall not be affected by any <br /> notice to the contrary. <br /> Whenever in the administration of the trusts imposed upon it by this Indenture the <br /> Trustee shall deem it necessary or desirable that a matter be proved or established prior to <br /> taking or suffering any action hereunder,such matter (unless other evidence in respect thereof be <br /> herein specifically prescribed) may be deemed to be conclusively proved and established by a <br /> Written Certificate, Written Request or Written Requisition of the Authority or the Members, <br /> and such Written Certificate,Written Request or Written Requisition shall be full warrant to the <br /> Trustee for any action taken or suffered in good faith under the provisions of this Indenture in <br /> reliance upon such Written Certificate, Written Request or Written Requisition, but in its <br /> discretion the Trustee may, in lieu thereof, accept other evidence of such matter or may require <br /> such additional evidence as to it may deem reasonable. <br /> Section 8.05. Preservation and Inspection of Documents. All documents received by the <br /> Trustee under the provisions of this Indenture shall be retained by the Trustee and shall be <br /> subject at all reasonable times to the inspection of the Authority, the Members and any Bond <br /> Owner, and their agents and representatives duly authorized in writing, at reasonable hours <br /> and under reasonable conditions. <br /> Section 8.06. Compensation and Indemnification. The Authority shall pay to the Trustee <br /> (solely from Additional Payments) from time to time the compensation for all services rendered <br /> under this Indenture and also all reasonable expenses and disbursements (including fees and <br /> expenses of counsel),incurred in and about the performance of its powers and duties under this <br /> Indenture. <br /> The Authority shall indemnify, defend and hold harmless the Trustee against any loss, <br /> liability or expense incurred without negligence or willful misconduct on its part, arising out of <br /> or in connection with the acceptance or administration of this trust, including costs and <br /> expenses of defending itself against any claim or liability in connection with the exercise or <br /> performance of any of its powers hereunder.
