(d) For the purpose of obtaining such moneys, the Authority has assigned and <br /> transferred to the Trustee,under the Indenture,certain of its rights under the Lease Agreements <br /> for the purpose of securing the bonds of the Authority designated the "Countywide Public <br /> Financing Authority 1996 Revenue Bonds"issued under the Indenture in the aggregate principal <br /> amount of $27,725,000 (the "Bonds"). <br /> (e) The Authority has requested the Trustee to enter into this Memorandum for the <br /> purpose of memorializing such assignment of record. <br /> Section 2. Assignment. <br /> The Authority hereby transfers, assigns and sets over to the Trustee, for the benefit of <br /> the Owners of Bonds executed and delivered under the Indenture, all of the rights of the <br /> Authority in the Lease Agreements (other than the rights of the Authority under Sections 4.7, <br /> 7.3 and 9.5 thereof),including but not limited to the right to receive and collect all of the Lease <br /> Payments (including prepayments thereof) from the Cities under the Lease Agreements,and the <br /> right to exercise such rights and remedies conferred on the Authority pursuant to the Lease <br /> Agreements as may be necessary or convenient to enforce payment of the Lease Payments and <br /> prepayments thereof. All rights assigned by the Authority shall be administered by the Trustee <br /> in accordance with the provisions of the Indenture and for the benefit of the Owners of Bonds. <br /> Section 3. Acceptance. <br /> The Trustee hereby accepts the assignments made herein for the purpose of providing for <br /> the payments due pursuant to the Indenture to, and the rights under the Lease Agreements and <br /> Indenture of, the Owners of the Bonds delivered pursuant to the Indenture, all subject to the <br /> provisions of the Indenture. <br /> Section 4. Conditions. <br /> This Memorandum shall confer no obligations or impose no duties upon the Trustee <br /> beyond those expressly provided in the Lease Agreements and the Indenture. <br /> Section 5. Counterpart Signatures. <br /> This Memorandum may be executed in several counterparts, each of which shall be an <br /> original and all of which shall constitute but one and the same agreement. <br /> -2- <br />
