13. Survival of Representations and Warranties. All representations and <br /> warranties of the parties made in, pursuant to or in connection with this Purchase Contract shall <br /> survive the execution and delivery of this Purchase Contract, notwithstanding any investigation by the <br /> parties. All statements contained in any certificate, instrument or other writing delivered by a party <br /> to this Purchase Contract or in connection with the transactions contemplated by this Purchase <br /> Contract constitute representations and warranties by such party under this Purchase Contract. <br /> 14. Counterparts. This Purchase Contract may be executed by the parties hereto <br /> in separate counterparts, each of which when so executed and delivered shall be an original, but all <br /> such counterparts shall together constitute but one and the same instrument. <br /> 15. Severability. In case any one or more of the provisions contained herein <br /> shall for any reason be held to be invalid, illegal or unenforceable in any respect, such invalidity, <br /> illegality or unenforceability shall not affect any other provision hereof. <br /> 16. Governing Law. The validity, interpretation and performance of this <br /> Purchase Contract shall be governed by the laws of the State of California. <br /> 17. No Assignment.
