ARTICLE I <br /> DEFINITIONS AND EXHIBITS <br /> Section 1.1. Definitions. Unless the context clearly otherwise requires or unless otherwise <br /> defined herein,the capitalized terms in this Lease Agreement shall have the respective meanings <br /> specified in Section 1.01 of the Indenture (hereinafter defined). In addition, the following terms <br /> heretofore defined in this Lease Agreement and the following terms defined in this Section 1.1 <br /> shall,for all purposes of this Lease Agreement,have the respective meanings herein specified. <br /> "Additional Payments" means the amounts payable by the City pursuant to Section 4.7. <br /> "City Continuing Disclosure Certificate" shall mean that certain Continuing Disclosure <br /> Certificate executed by the City and dated the Closing Date, as originally executed and as it <br /> may be amended from time to lime in accordance with the terms thereof. <br /> "City's Pro Rata Portion" means the product of the total cost multiplied by a fraction, the <br /> numerator of which is the aggregate principal amount of the Bonds issued for the benefit of the <br /> City, and the denominator of which shall be the aggregate principal amount of the Bonds <br /> issued. <br /> "Event of Default" means any of the events of default defined as such in Section 9.1. <br /> "Facility"means those certain improvements more particularly described in Exhibit B to <br /> the Site and Facility Lease and in Exhibit B to this Lease Agreement. <br /> "Fiscal Year"means the twelve-month period beginning on July 1 of any year and ending <br /> on June 30 of the next succeeding year, or any other twelve-month period established by the <br /> City as its fiscal year pursuant to written notice filed with the Authority and the Trustee. <br /> "Indenture" means the Indenture of Trust dated as of July 1, 1996, by and between the <br /> Authority and the Trustee, authorizing the issuance of the Bonds, together with any duly <br /> authorized and executed amendments thereto. <br /> "Lease Payment Date" means, with respect to any Interest Payment Date, the fifteenth <br /> (15th) calendar day of the month preceding such Interest Payment Date. <br /> "Lease Payments" means the amounts payable by the City pursuant to Section 4.3(a), <br /> including any prepayment thereof pursuant hereto and including any amounts payable upon a <br /> delinquency in the payment thereof. <br /> "Leased Premises"means,collectively,the Site and the Facility. <br /> "Net Proceeds" means amounts derived from any policy of casualty insurance or title <br /> insurance with respect to the Leased Premises, or the proceeds of any taking of the Leased <br /> Premises or any portion thereof in eminent domain proceedings (including sale under threat of <br /> such proceedings), to the extent remaining after payment therefrom of all expenses incurred in <br /> the collection and administration thereof. <br /> "Participating Underwriter" shall have the meaning ascribed thereto in the City <br /> Continuing Disclosure Certificate. <br /> -2- <br />
