13128-01 JHHW:BDQ:JHE 7/24/96 <br /> $27,725,000 <br /> COUNTYWIDE PUBLIC FINANCING AUTHORITY <br /> 1996 REVENUE BONDS <br /> CERTIFICATE REGARDING REASONABLENESS AND ACCURACY <br /> OF CERTIFICATE AS TO ARBITRAGE—CITY OF BREA <br /> The undersigned does hereby state and certify as follows: <br /> (i) that the undersigned is the Financial Services Director of the City of Brea, a <br /> municipal corporation and general law city organized under the laws of the State of California <br /> (the "City"), is authorized to execute this certificate on behalf of the City and is knowledgeable <br /> with respect to the matters set forth herein; <br /> (ii) that I have read the document entitled "$27,725,000 Countywide Public <br /> Financing Authority 1996 Revenue Bonds Certificate as to Arbitrage" (the "Arbitrage <br /> Certificate") and each and every portion thereof relating directly or indirectly to that certain <br /> Lease Agreement, dated as of July 1, 1996, by and between the Countywide Public Financing <br /> Authority (the "Authority"), as lessor, and the City, as lessee (the "Lease Agreement"), and to <br /> the portion of the $27,725,000 Countywide Public Financing Authority 1996 Revenue Bonds <br /> (the "Bonds") which are allocable to the City (the "City's Portion of the Bonds"); <br /> (ii) that the facts set forth in the Arbitrage Certificate relating to the City, the Lease <br /> Agreement and the City's Portion of the Bonds (including the amount and use of gross proceeds <br /> and repayment of the City's Portion of the Bonds) are accurate and, to the best of my <br /> knowledge, information and belief, the expectations expressed in the Arbitrage Certificate <br /> relating to the City,the Lease Agreement and the City's Portion of the Bonds are reasonable; <br /> (iii) that to the best of my knowledge, information and belief, there are no facts or <br /> estimates, other than those expressed in the Arbitrage Certificate that would materially affect <br /> the facts and expectations set forth in the Arbitrage Certificate relating to the City, the Lease <br /> Agreement and the City's Portion of the Bonds; and <br /> (iv) that the undersigned is aware that Jones Hall Hill & White, A Professional Law <br /> Corporation,is rendering an opinion substantially to the effect that the interest on the Bonds is <br /> excluded from gross income for federal income tax purposes and in rendering such opinion is <br /> relying upon the statements made herein. <br /> IN WITNESS WHEREOF,I have hereunto set my name this 31st day of July, 1996. <br /> BC !It CtGeeA_/e- <br /> Lawrence D.
