ARTICLE VII <br /> DISCLAIMER OF WARRANTIES; ACCESS <br /> Section 7.1. Disclaimer of Warranties. THE AUTHORITY MAKES NO WARRANTY OR <br /> REPRESENTATION, EITHER EXPRESS OR IMPLIED, AS TO THE VALUE, DESIGN, <br /> CONDITION, MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE OR <br /> FITNESS FOR THE USE CONTEMPLATED BY THE CITY OF THE LEASED PREMISES, OR <br /> ANY OTHER REPRESENTATION OR WARRANTY WITH RESPECT TO THE LEASED <br /> PREMISES. IN NO EVENT SHALL THE AUTHORITY AND ITS ASSIGNS BE LIABLE FOR <br /> INCIDENTAL, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES IN CONNECTION <br /> WITH OR ARISING OUT OF THIS LEASE, THE SITE AND FACILITY LEASE OR THE <br /> INDENTURE FOR THE EXISTENCE,FURNISHING,FUNCTIONING OR THE CITY'S USE OF <br /> THE LEASED PREMISES. <br /> Section 7.2. Rights of Access. The City agrees that the Authority and any Authorized <br /> Representative of the Authority, and the Authority's successors or assigns, shall have the right <br /> at all reasonable times to enter upon and to examine and inspect the Leased Premises. The City <br /> further agrees that the Authority, any Authorized Representative of the Authority, and the <br /> Authority's successors or assigns shall have such rights of access to the Leased Premises as may <br /> be reasonably necessary to cause the proper maintenance of the Leased Premises in the event of <br /> failure by the City to perform its obligations hereunder;provided,however, that the Authority's <br /> assigns shall not be required to cause such proper maintenance. <br /> Section 7.3.Release and Indemnification Covenants. The City shall and hereby agrees to <br /> indemnify and save the Authority, the Trustee and their respective officers, agents, successors <br /> and assigns,harmless from and against all claims,losses and damages,including legal fees and <br /> expenses,arising out of(a)the use,maintenance,condition or management of,or from any work <br /> or thing done on the Leased Premises by the City, (b) any breach or default on the part of the <br /> City in the performance of any of its obligations under this Lease Agreement, (c) any act or <br /> negligence of the City or of any of its agents, contractors, servants, employees or licensees with <br /> respect to the Leased Premises, (d) any act or negligence of any lessee of the City with respect <br /> to the Leased Premises, or (e) the performance by the Trustee of its duties hereunder or under <br /> the Indenture. No indemnification is made under this Section 7.3 or elsewhere in this Lease <br /> Agreement for willful misconduct or negligence under this Lease Agreement by the Authority, <br /> the Trustee or any of their respective officers or employees. The indemnification hereunder shall <br /> survive removal or resignation of the Trustee,termination of this Lease Agreement or discharge <br /> of the Bonds. <br /> -17- <br />
