"Permitted Encumbrances" means, as of any time: (a) liens for general ad valorem taxes and assessments, if any, not then delinquent, or which the City may permit to remain unpaid pursuant to Article V; (b) the Site and Facility Lease, this Lease Agreement; the Indenture and any other agreement or document contemplated hereunder to be recorded against the Leased Premises; (c) any right or claim of any mechanic,laborer, materialman, supplier or vendor not filed or perfected in the manner prescribed by law; (d) encumbrances shown on the CLTA title insurance policy issued with respect to the Leased Premises on the Closing Date which the City hereby certifies will not materially impair the use of the Leased Premises for their intended purposes; and (e) easements, rights of way, mineral rights, drilling rights and other rights, reservations, covenants, conditions or restrictions which the City certifies in writing will not materially impair the use of the Leased Premises for their intended purposes. "Site" means that certain real property more particularly described in Exhibit A to the Site and Facility Lease and in Exhibit A to the Lease Agreement. "Site and Facility Lease" means the Site and Facility Lease dated as of July 1, 1996, by and between the City as lessor of the Leased Premises, and the Authority as lessee, together with all amendments thereto. "State" means the State of California. "Term of this Lease Agreement" means the time during which this Lease Agreement is in effect, as provided in Section 4.2. "Trustee" means U.S. Trust Company of California, N.A., or any successor thereto acting as Trustee pursuant to the Indenture. Section 1.2. Exhibits. The following exhibits are attached to, and by this reference made a part of, this Lease Agreement: Exhibit A: Description of the Site. Exhibit B: Description of the Facility.
