<br /> OFFICER'S CERTIFICATE
<br /> The undersigned hereby states and certifies:
<br /> (i) that he is the duly appointed, qualified and Director of Finance of the City of
<br /> Buena Park,a general law city and municipal corporation duly organized and existing under the
<br /> laws of the State of California (the "City"), and as such, is familiar with the facts herein
<br /> certified and is authorized and qualified to certify the same;
<br /> (ii) that he is an "Authorized Representative" of the Member, as such terms are
<br /> defined in that certain Indenture of Trust, dated as of July 1, 1996 (the "Indenture"), by and• .
<br /> between U.S. Trust Company of California, N.A., as trustee, and the Countywide Public
<br /> Financing Authority(the"Authority");
<br /> (iii) that, the City Council of the City duly adopted the following resolution and
<br /> ordinance, which resolution and ordinance have not been amended, modified, supplemented,
<br /> rescinded or repealed and remain in full force and effect as of the date hereof:
<br /> (a) Resolution No. 10204, entitled "Resolution of the City Council of the City
<br /> of Buena Park,California,Approving Financing Proceedings for the City's
<br /> Share of the Countywide 800 MHZ Communications System and or to
<br /> Finance Other Capital Improvements Within the Geographical Boundaries
<br /> of the City, Approving Issuance of Revenue Bonds by the Countywide
<br /> Public Financing Authority for such Purchase, and Approving Related
<br /> Documents and Official Actions", adopted May 28, 1996, and
<br /> (b) Ordinance No. 1334, entitled "An Ordinance of the City Council of the
<br /> City of Buena Park, California, Approving the Public Lease Back of
<br /> Certain Facilities with the Countywide Public Financing Authority",
<br /> adopted June 17, 1996;
<br /> (iv) that, by all necessary action, the City has duly authorized and approved the
<br /> execution and delivery of the Official Statement, dated July 16, 1996 (the "Official Statement"),
<br /> relating to the captioned bonds,and the execution and delivery of, and the performance by the
<br /> City of the obligations on its part contained in,the following agreements(collectively referred to
<br /> herein as the"Agreements"):
<br /> (a) Site and Facility Lease, dated as of July 1, 1996, by and between the City
<br /> and the Authority,and
<br /> (b) Lease Agreement, dated as of July 1, 1996, by and between the Authority
<br /> and the City;
<br /> (v) that the representations, warranties and covenants of the City contained in the
<br /> Agreements are true and correct in all material respects on and as of the date hereof as if made
<br /> on the date hereof;and
