FOR DISBURSEMENT FROM <br /> BUENA PARK PROJECT ACCOUNT OF THE PROJECT FUND <br /> The undersigned hereby states and certifies: <br /> (i) that he is the duly appointed, qualified and acting Director of Finance of the City <br /> of Buena Park,a general law city and municipal corporation duly organized and existing under <br /> the laws of the State of California (the "City"), and as such, is familiar with the facts herein <br /> certified and is authorized and qualified to certify the same; <br /> (ii) that he is a duly designated "Authorized Representative" of the Member, as such <br /> terms are defined in that certain Indenture of Trust, dated as of July 1, 1996 (the "Indenture"), <br /> by and between U.S. Trust Company of California, N.A., as trustee (the "Trustee") and the <br /> Authority; <br /> (ill) that, pursuant to Section 3.04 of the Indenture, the Trustee is hereby directed to <br /> disburse this date from the Buena Park Project Account within the Project Fund established <br /> pursuant to the Indenture (the 'Buena Park Project Account") to the payees designated on <br /> Exhibit A attached hereto and by this reference incorporated herein, an amount not to exceed <br /> the respective sum set forth opposite each such designation,upon receipt of an invoice therefor, <br /> in payment or reimbursement of the costs of the Project,described on said Exhibit A; <br /> (iv) that each obligation identified on the attached Exhibit A has been properly <br /> incurred by the City and are presently due and payable and is a proper charge against the <br /> Buena Park Project Account; <br /> (v) that no amount to be disbursed pursuant to this Requisition has been included in <br /> any Requisition requesting disbursement previously filed with the Trustee;and <br /> (vi) that capitalized terms used herein and not otherwise defined shall have the <br /> meanings ascribed thereto in the Indenture. <br /> Dated: CITY OF BUENA PARK <br /> By <br /> Greg Beaubien, <br /> Director of Finance <br />
