An independent Subrecipient is defined as "an individual who is not an employee <br />of the ... government entity for California purposes and who receives compensation or executes <br />a contract for services performed for that ... government entity either in or outside of California." <br />The reporting requirement does not apply to corporations, general partnerships, limited liability <br />partnerships, and limited liability companies. <br />Additional information on this reporting requirement can be found at the California Employment <br />Development Department web site located at http://www.edd.ca. og v/Einployer_Services.htm <br />17. Errors and Omissions: <br />All reports, files and other documents prepared and submitted by Subrecipient shall be complete <br />and shall be carefully checked by the professional(s) identified by Subrecipient as Project <br />Manager and key personnel attached hereto, prior to submission to the County. Subrecipient <br />agrees that County review is discretionary and Subrecipient shall not assume that the County will <br />discover errors and/or omissions. If the County discovers any errors or omissions prior to <br />approving Subrecipient's reports, files and other written documents, the reports, files or <br />documents will be returned to Subrecipient for correction. Should the County or others discover <br />errors or omissions in the reports, files or other written documents submitted by the Subrecipient <br />after County approval thereof, County approval of Subrecipient's reports, files or documents <br />shall not be used as a defense by Subrecipient in any action between the County and Subrecipient, <br />and the reports, files or documents will be returned to Subrecipient for correction. <br />18. Non -Supplantation of Funds: <br />Subrecipient shall not supplant any Federal, State, or County funds intended for the purposes of <br />this Contract with any funds made available under this Contract. Subrecipient shall not claim <br />reimbursement from County for, or apply sums received from County with respect to, that portion <br />of its obligations which have been paid by another source of revenue. Subrecipient agrees that it <br />shall not use funds received pursuant to this Contract, either directly or indirectly, as a <br />contribution or compensation for the purposes of obtaining Federal, State, or County funds under <br />any Federal, State, or County program without prior written approval from the County. <br />19. Satisfactory Work: <br />Services rendered hereunder are to be performed to the written satisfaction of County. County's <br />staff will interpret all reports and determine the quality, acceptability and progress of the services <br />rendered. <br />20. Access and Records: <br />A. Access. County, the State of California and the United States Government and/or their <br />representatives, shall have access, for purposes of monitoring, auditing, and examining, <br />to Subrecipient's activities, books, documents and papers (including computer records <br />and emails) and to records of Subrecipient's subcontractors, consultants, contracted <br />employees, bookkeepers, accountants, employees and participants related to this <br />Contract. Subrecipient shall insert this condition in each Contract between Subrecipient <br />and a subcontractor that is pursuant to this Contract shall require the subcontractor to <br />agree to this condition.
