Licensee shall obtain and maintain at all <br />times during the term of this Agreement statutory workers' compensation and employer's liability <br />insurance in an amount not less than the amount required by statute and shall furnish the Licensor <br />with a certificate showing proof of such coverage. <br />9.3 Insurer Criteria. Any insurance provider of Licensee shall be admitted and <br />authorized to do business in the State of California and shall carry a minimum rating assigned by <br />A.M. Best & Company's Key Rating Guide of "A" Overall and a Financial Size Category of "VIL" <br />9.4 Severability of Interest. "Severability of interest" or "separation of insureds" <br />clauses shall be made a part of the Commercial General Liability and Commercial Automobile <br />Liability policies. <br />10. NOTICES <br />10.1 Method and Delivery of Notices. Notices shall be deemed given upon <br />receipt in the case of personal delivery, three days after deposit in the mail, or the next business <br />day in the case of overnight delivery. Either party may from time to time designate any other <br />address for this purpose by written notice to the other party delivered in the manner set forth above. <br />11. DEFAULT; CURE; REMEDIES. <br />11.1 Licensee Default and Notification. This Agreement is granted upon each and <br />every condition herein and each of the conditions is a material and essential condition to the <br />granting of this Agreement.
