BLACK & COMPANY, INC. TO PROVIDE TECHNICAL CONSULTANT SERVICES TO IMPLEMENT CITYWIDE BUDGET MANAGEMENT SOFTWARE THIS AGREEMENT is made and entered into on this 19th day of May, 2020 by and between F;H._ Black &. Company,Inc. ("Consultant'), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ("City"). >. RECITALS A. The City desires to retain a Consultant having special skill and knowledge to provide budget management software for large organizations to deliver a public sector budgeting solution that supports the various needs of the budget office and City departments in the development and publication of the City's annual budget and related documents. B. On May 4, 2017, the City issued a Request for Proposal ("RFP) # 17-053, by which it sought consultants with extensive experience in providing budget management software and Consultant was previously selected and awarded an agreement (N-2019-027) in which to perform said services. Agreement #N-2019-027 expired on March 6, 2019 without completing the required services due to multiple scheduling conflicts between the parties. C. City seeks to re-engage Consultant to complete services and provide for new training sessions for which Consultant represents that it is able and willing to provide such services to the City. D. In undertaking the performance of this Agreement, Consultant represents that it is knowledgeable in its field and that any services performed by Consultant under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional consulting firm in the field. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: SCOPE OF SERVICES Consultant shall perform during the term of this Agreement, the tasks and obligations including all labor, materials, tools, equipment, and incidental customary work required to fully and adequately complete the services, which includes the initial implementation and related services to install and maintain the CaseWare software, which will allow the City to automatically publish its budget book 2. COMPENSATION a. The total amount to be expended during the term of this Agreement, as detailed in Exhibit A, attached hereto, shall not exceed $n,'W'25.
