INSURANCE ON FILE <br />WORK MAY PROCEED N-2020-095 <br />UNTIL INSURANCE EXPIRES <br />CLERK OF COUNCIL <br />DATE. <br />Sµ AGREEMENT WITH BARTEL ASSOCIATES LLC <br />t' ,� "`t' vo `j FOR ACTUARIAL VALUATION SERVICES <br />FOR OTHER POST -EMPLOYMENT BENEFITS <br />C= THIS AGREEMENT is made and entered into on this 13a' day of May, 2020 by and between <br />r� Bartel Associates, LLC, a California limited liability company ("Consultant"), and the City of <br />cv Santa Ana, a charter city and municipal corporation organized and existing under the Constitution <br />>_ and laws of the State of California ("City"). <br />2F <br />RECITALS <br />A. On January 30, 2020, the City issued a Request for Proposal No. 20-005 ("RFP"), by which <br />it sought proposals from qualified firms to provide actuarial services for other post - <br />employment benefits ("OPEB") in accordance with Governmental Accounting Standards <br />Board Statement 75. <br />B. Consultant submitted a responsive proposal that was selected by the City and Consultant <br />represents that it is able and willing to provide such services to the City. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Consultant shall perform those services as described in the Scope of Work, identified and <br />attached hereto as Exhibit A, and the RFP and the Consultant's proposal which are incorporated <br />by reference. <br />2. COMPENSATION <br />a. City agrees to pay, and Consultant agrees to accept as total payment for its services for <br />City, the rates and charges identified in Exhibit B. The total annual amount shall not <br />exceed the amounts specified in Exhibit B. The total amount to be expended during <br />the term of this Agreement shall not exceed $49,461.50. This amount is comprised of <br />(1) the base amount of $44,965 and (2) a 10% contingency of up to $4,496.50 for <br />services performed by Consultant at the sole discretion of the City. <br />b. Payment by City shall be made within forty-five (45) days following receipt of proper <br />monthly invoices evidencing work performed, subject to City accounting procedures. <br />Payment need not be made for work which fails to meet the standards of performance <br />set forth in the Recitals which may reasonably be expected by City. <br />Page 1 of 8 <br />#41547v2 <br />
