WITH AP TRITON, LLC o THIS AGREEMENT FOR CONSULTANT SERVICES ("Agreement") is made and N entered into this 24`n day of June, 2020 by and between AP Triton, LLC, a California Limited o Liability Company ("CONSULTANT"), and the City of Santa Ana, a charter city and municipal M corporation organized and existing under the Constitution and laws of the State of California ("CITY") hereinafter collectively referred to as the "Parties". RECITALS A. The CITY desires to retain a consultant having special skill and knowledge in the field of Ground Emergency Medical Transport (GEMT) and the GEMT supplemental reimbursement program and its requirements, including the associated Quality Assurance Fee (QAF) program. B. CONSULTANT represents that CONSULTANT is able and willing to provide such services to the CITY. C. In undertaking the performance of this Agreement, CONSULTANT represents that it is knowledgeable in its field and that any services performed by CONSULTANT under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional consulting firm in the field. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the Parties agree as follows: 1. SCOPE OF SERVICES a. CONSULTANT shall perform during the term of this Agreement, the tasks and obligations including all labor, materials, tools, equipment, and incidental customary work required to fully and adequately complete the services described, including optional contingency services performed at the sole discretion of CITY, as set forth in EXHIBIT A, AP Triton Consulting, LLC "PROPOSAL Review of Cost Reports for The City of Santa Ana", dated May 13, 2020, Sections 1 and 2, and attached hereto and incorporated herein by reference. b. Change Order Contingency — from time -to -time, at CITY'S option, the City Manager or her/his designee may request additional GEMT and QAF related services of Consultant at mutually agreed upon scope and fees. C. CITY shall provide complete, accurate, and timely information regarding CITY'S requirements and shall designate by name a representative authorized to act on its behalf. CITY shall examine documents or other instruments submitted by CONSULTANT and shall promptly render any decisions necessary in order to avoid unreasonable delay. CITY shall provide any additional materials, other than those CONSULTANT is responsible to provide, that are reasonably necessary to complete the Scope of Work.
