WITH AP TRITON, LLC <br />o THIS AGREEMENT FOR CONSULTANT SERVICES ("Agreement") is made and <br />N entered into this 24`n day of June, 2020 by and between AP Triton, LLC, a California Limited <br />o Liability Company ("CONSULTANT"), and the City of Santa Ana, a charter city and municipal <br />M corporation organized and existing under the Constitution and laws of the State of California <br />("CITY") hereinafter collectively referred to as the "Parties". <br />RECITALS <br />A. The CITY desires to retain a consultant having special skill and knowledge in the field of <br />Ground Emergency Medical Transport (GEMT) and the GEMT supplemental <br />reimbursement program and its requirements, including the associated Quality Assurance <br />Fee (QAF) program. <br />B. CONSULTANT represents that CONSULTANT is able and willing to provide such <br />services to the CITY. <br />C. In undertaking the performance of this Agreement, CONSULTANT represents that it is <br />knowledgeable in its field and that any services performed by CONSULTANT under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject <br />to the terms and conditions hereinafter set forth, the Parties agree as follows: <br />1. SCOPE OF SERVICES <br />a. CONSULTANT shall perform during the term of this Agreement, the tasks and <br />obligations including all labor, materials, tools, equipment, and incidental customary work <br />required to fully and adequately complete the services described, including optional contingency <br />services performed at the sole discretion of CITY, as set forth in EXHIBIT A, AP Triton <br />Consulting, LLC "PROPOSAL Review of Cost Reports for The City of Santa Ana", dated May <br />13, 2020, Sections 1 and 2, and attached hereto and incorporated herein by reference. <br />b. Change Order Contingency — from time -to -time, at CITY'S option, the City <br />Manager or her/his designee may request additional GEMT and QAF related services of <br />Consultant at mutually agreed upon scope and fees. <br />C. CITY shall provide complete, accurate, and timely information regarding CITY'S <br />requirements and shall designate by name a representative authorized to act on its behalf. CITY <br />shall examine documents or other instruments submitted by CONSULTANT and shall promptly <br />render any decisions necessary in order to avoid unreasonable delay. CITY shall provide any <br />additional materials, other than those CONSULTANT is responsible to provide, that are <br />reasonably necessary to complete the Scope of Work.
