Agreement with Urban Futures, Inc. for Financial Advisory and Dissemination Agent Services <br />July 7, 2020 <br />Page 3 <br />Key highlights of UFI's proposal include: <br />Advisors and consultants include former executive level municipal employees, such as <br />City Managers, City Attorneys, and Finance Directors. Their prior experience working in <br />municipalities provides the firm a unique perspective in how to assist staff in addressing <br />the City current and future challenges (i.e. financial advisory) <br />Key highlights of UFI's proposal include (continued): <br />• The firm also employs former investment professionals to support the City in evaluating <br />issuance and/or refunding opportunities <br />• Assistance in evaluating the City's existing policies including but not limited to continuing <br />disclosure and debt management <br />• Review of the City's financial forecast (General Fund) along with its existing revenue <br />streams and cost drivers <br />• Coordination of the financing team involved with issuing debt to ensure maximum debt <br />coverage along with debt service savings <br />• Timely filing of the City's various continuing disclosure filings via EMMA and other <br />regulatory agencies <br />UFI has been providing services to the City since 2013 in its capacity as financial advisor during <br />debt issuances, pension analysis, along with dissemination agent services. Because of UFI's <br />efforts, the City was able to achieve significant savings as a result of refinancing its Successor <br />Agency and Gas Tax debt. <br />Upon approval, UFI in its capacity as financial advisor will serve a major role in evaluating the <br />financial impact of projects that materially affect the city's economic future. Specifically in <br />determining the feasibility in issuing pension obligation bonds, refunding existing debt to achieve <br />debt service savings and providing investors and regulatory agencies current and accurate <br />financial information of the City. <br />With approval of this action, UFI will also take part in performing due diligence, by conducting an <br />RFP process, recommending the team of investment professionals (attorneys, underwriter, fiscal <br />agent, consultants) who will assist the City with the process in issuing debt. With each debt issue, <br />staff will return to the City Council with a contract amendment for the financial advisors fee for that <br />specific debt issuance using the rates in this agreement. <br />FISCAL IMPACT <br />Funds are available by the provided services as follows: <br />25F-3 <br />
