Larchmont Boulevard, #264, Los Angeles, California 90004 ("Contractor"), and the CITY <br />OF LONG BEACH, a municipal corporation ("City"). <br />WHEREAS, City requires specialized services requiring unique skills to be <br />performed in connection with graffiti removal services ("Project"); and <br />WHEREAS, City has selected Contractor in accordance with City's <br />administrative procedures using a Request for Proposals ("UP"), and City has determined <br />that Contractor and its employees are qualified, licensed, if so required, and experienced <br />in performing these specialized services; and <br />WHEREAS, City desires to have Contractor perform these specialized <br />services, and Contractor is willing and able to do so on the terms and conditions in this <br />Agreement; <br />NOW, THEREFORE, in consideration of the mutual terms, covenants, and <br />conditions in this Agreement, the parties agree as follows: <br />1. SCOPE OF WORK OR SERVICES. <br />A. Contractor shall furnish specialized services more particularly <br />described in Exhibit "A", attached to this Agreement and incorporated by this <br />reference, in accordance with the standards of the profession, and City shall pay for <br />these services in an annual amount, not to exceed One Million Three Hundred <br />Seventy Thousand Dollars ($1,370,000), at the rates or charges shown in Exhibit <br />„B„ <br />B.
