N <br />N INSURANCE NOT ON FILE N-2020-125 <br />WORK MAY NQT PROCEED <br />CLERK OF COUNCIL <br />p`P w (Sundliv►orl�lt) for <br />AGREEMENT TO PROVIDE PROPANE FUELING AND RELATED SERVICES <br />THIS AGREEMENT is made and entered into this 1st day of August, 2020 by and between ARRO <br />-Atlos=("Contractor"), and the City of Santa Ana, a charter city and municipal corporation <br />organized and existing under the Constitution and laws of the State of California ("City"). <br />RECITALS <br />A. City and Contractor previously entered into Agreement No. A-2014-075, dated <br />March 18, 2014, under which Contractor has provided to City propane fueling <br />station equipment at the City Yard, including maintenance and service on such <br />equipment. Contractor's services have also included the distribution and supply of <br />propane to the City for dispensing by City employees using Contractor's <br />equipment. <br />B. Agreement No. A-2014-075 is scheduled to expire on July 31, 2020. The parties <br />wish to enter into a new agreement on a short term basis so that the City can <br />evaluate other propane Mel delivery options, including without limitation a longer <br />tenn agreement with Contractor. <br />C. In undertaking the performance of this Agreement, Contractor represents that it is <br />knowledgeable in its field and that any services perforated by Contractor under this <br />Agreement will be perforated in compliance with such standards as may reasonably <br />be expected from a professional contracting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terns and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Contractor shall perform the services described in the scope of work that is attached as <br />Exhibit A. All propane fueling station and distribution equipment that was specified and installed <br />under Agreement No. 2014-075 are and shall remain the property of Contractor, and shall be <br />removed at Contractor's sole expense at the expiration of this Agreement or at any time Contractor <br />ceases to perform services for the City. At its sole expense, Contractor shall provide all <br />maintenance and services for the existing fueling station equipment in accordance with the <br />specifications stated in Agreement No. 2014-075 and shall otherwise comply with all other <br />applicable regulations and laws in the provision of all services under this Agreement. <br />2. COMPENSATION <br />a. City agrees to pay, and Contractor agrees to accept as total payment for its services <br />under this Agreement, the rates and charges identified in Exhibit A. The total <br />annual sum to be expended under the term of this Agreement, including any <br />extension periods, shall not exceed $50,000. <br />Page I of 8 <br />
