ARRO AUTOCAS' Exhibit A DATED: July 24, 2020 TO: The City of Santa Ana 20 Civic Center Plaza Santa Ana, CA 92701 ATT; Ed Riquier, Warehouse and Facilities Supervisor RE:_ Propane sales, service and installation of refueling infrastructure. Arro Autogas, hereto referred to as Arro, hereby agrees to provide propane sales and service to the City of Santa Ana and renew the original agreement -signed and dated March 18, 2014, as per the following terms and conditions shall apply; 1. The City of Santa Ana agrees to pay Arro thirty-four cents ($0,34) per gallon above Arro's cost of product on the elate of invoice for any and all propane sold through the FuelMaster Unit, excluding that which is sold to other Arro fleet customers. As of the date of this letter the delivered price is one dollar and forty-feur cents ($ t.44) per gallon plus applioable`taxes. Arro's cost of product is based on Los Angeles AePEX Rack Price plus the laid -in cost ofttucking the fuel to the City of Santa Ana's facility, Today, Afro's laid -in cost of product is thirty-one cents ($0.31) per gallon, A discount will be offered to the City of Santa Ana based on volume as listed below. Arro shall always maintain, ownership of all propane in the storage tank. All invoices shall be paid by meaus:ofan ACH (automated clearinghouse) bank transfer every thirty (30) days. ARRO Autogas will offer a discount for voluitie stated below. The discount will be based on gallons purchased by the City of Santa Ana during,a twelve-month<calendar year. Afro's Cost of Product + $0.34 (+ tax) fof 0-50,000 gallons within 12 months as stated above: Arro's Cost of.Product + $0.29 (+ tax) for 50,001- 751000 gallons within 12 months as stated above. Arro's Cost of Product + $0.24 (+ tax) for 75,001+ gallons within 12 months as stated above. 2. The City of Santa Ana shall receive ten cents ($0.10) per gallon on all propane sold to other Arro fleet customers which shall be applied towards the bulance(s) of current open i rvoice$. The propane dispenser will only be accessible by operators who have been trained on proper refr oling techniques. Access to propane dispenser for Arro customers shall be 24 hours 7 days a week.
