Authorize the City Manager to execute an Indemnification Agreement with Arrimus Capital <br />(Applicant) subject to non -substantive changes approved by the City Manager and City <br />Attorney. <br />DISCUSSION <br />On August 18, 2020, the City Council, by a vote of 5:2, took the following actions to facilitate <br />construction of the Warner Redhill Mixed -Use Development: <br />1. Adopted a resolution certifying Final Environmental Impact Report No. 2020-01 (SCH No. <br />2019080011), including adoption of environmental findings of fact pursuant to the <br />California Environmental Quality Act, adoption of a Statement of Overriding <br />Considerations, and adoption of a Mitigation Monitoring and Reporting Program. <br />2. Adopted a resolution approving General Plan Amendment (GPA) No. 2020-02 to change <br />the General Plan land use designation of the project site. <br />3. Passed to print an ordinance approving Amendment Application (AA) No. 2020-01 to <br />establish Specific Development No. 96 (Exhibit 1). <br />4. Adopted a resolution with findings overruling the Orange County Airport Land Use <br />Commission's determination of inconsistency for the project with the Airport Environs Land <br />Use Plan for John Wayne Airport. <br />During the August 18, 2020 hearing, the City Council asked what measures would be in place to <br />protect the City from future liability associated with the overruling action by the City of the Orange <br />County Airport Land Use Commission's (ALUC) determination of inconsistency for the project <br />with the Airport Environs Land Use Plan (AELUP) for John Wayne Airport.
