EXHIBIT 2 <br />FIRST AMENDMENT TO AGREEMENT <br />WITH HELPMATES STAFFING SERVICES <br />THIS FIRST AMENDMENT to the above -referenced agreement is entered into on September 15, <br />2020, by and between Helpmates Staffing Services ("Consultant"), and the City of Santa Ana, a <br />charter city and municipal corporation organized and existing under the Constitution and Laws of <br />the State of California ("City"). <br />RECITALS <br />A. The parties entered into Agreement No. A-2018-148, dated June 5, 2018, by which <br />Consultant agreed to provide temporary staffing services for the City's employment needs <br />("Agreement"). <br />B. Contractor was one of three Contractors selected to provide temporary staffing services. The <br />compensation called for under the Agreement was for an amount not -to -exceed $400,000 per <br />year for all three contractors. <br />C. The parties now desire to amend the agreement to allocate $60,000 from FY 2020/2021 to FY <br />2019/2020 to pay Contractor 4 month of past invoices for the last fiscal year. Due to the current <br />pandemic, City staff does not anticipate an increase in temporary staffing services for the <br />current fiscal year. <br />The Parties therefore agree: <br />1. Section 2, Compensation, is amended to allocate $60,000 from FY 2020/2021 to FY <br />2019/2020. The total compensation for Contractor, as one of the selected contractors, shall <br />not exceed the following: <br />FY 2019/2020 = $460,000 <br />FY 2020/2021 = $340,000 <br />The parties acknowledge that Contractor provided additional services to the City from March 22, <br />2020 through March 27, 2020 that exceeded the amount of compensation allocated for FY <br />2019/2020 and that there is outstanding invoices in the amount of $60,000 ("Outstanding <br />Compensation") for the services rendered as set forth in the Invoices identified in Exhibit B-1, <br />attached hereto, and incorporated by reference to this Agreement. The Outstanding Compensation <br />is included as part of the Compensation allocation identified in this Section. <br />The compensation for the two (2) one (1) year renewal options shall remain as written in the <br />Agreement. <br />City neither warrants nor guarantees any minimum or maximum compensation to Contractor under <br />this Agreement. Contractor shall be paid only for services performed under the Agreement at the <br />rates and charges identified in Exhibit B. Contractor is one of three Contractors selected to provide <br />temporary staffing services. <br />Page 1 of 2 <br />25A-21 <br />
