INSURANCE NOT ON FILE <br />WORK MAYNET <br />CLERK OF COUNCIL <br />DATE: JUN 14 2018 <br />AGREEMENT TO PROVIDE <br />TEMPORARY STAFFING SERVICES <br />A-2018-148 <br />EXHIBIT <br />THIS AGREEMENT is made and entered into this 5th day of June, 2018 by and between Trust <br />Temporary Services, Inc., a California Corporation, dba Helpmates Staffing Services, <br />("Contractors"), and the City of Santa Ana, a charter city and municipal corporation organized and <br />existing under the Constitution and laws of the State of California ("City"). <br />RECITALS <br />A. On February 6, 2018, the City issued a Request for Proposal ("RFP") No. 18-009, by which <br />it sought qualified contractors to provide temporary staffing services for the City's <br />employment needs. <br />B. Contractor submitted a responsive proposal that was among those selected by the City. <br />Contractor represents that Contractor is able and willing to provide the services described <br />in the scope of work that was included in RFP No. 18-009 and attached as Exhibit A. <br />C. In undertaking the performance of this Agreement, Contractor represents that it is <br />knowledgeable in its field and that any services performed by Contractor under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />SCOPE OF SERVICES <br />Contractor shall perform during the term of this Agreement, the tasks and obligations <br />including all labor, materials, tools, equipment, and incidental customary work required to fully <br />and adequately complete the services described and set forth in Exhibit A. Contractor's proposal <br />dated February 26, 2018, is incorporated by reference as though fully set forth herein. <br />2. COMPENSATION <br />a. City neither warrants nor guarantees any minimum or maximum compensation to <br />Contractor under this Agreement. Contract shall be paid only for services performed <br />under this Agreement at the rates and charges identified in Exhibit B. Contractor is <br />one of three Contractors selected to provide temporary staffing services. The total <br />compensation for Contractor, as one of the selected contractors, shall not exceed <br />$400,000 per year, including any extension periods as detailed in Section 3. <br />b. Payment by City shall be made within 45 (forty-five) days following receipt of proper <br />invoice evidencing work performed, subject to City accounting procedures. Payment <br />need not be made for work which fails to meet the standards of performance set forth <br />in the Recitals which may reasonably be expected by City. <br />Page 1 of 8 <br />25A-3 <br />
