Thereafter <br />any notice, tender, demand, delivery, or other communication shall be addressed and transmitted <br />to the new address. If personally delivered, such communication shall be effective on receipt. If <br />sent by overnight mail delivery service or first class, certified mail, return receipt requested, such <br />communication shall be effective on receipt, rejection or inability to deliver. If sent by facsimile <br />or electronic mail, such communication shall be effective or deemed to have been given twenty- <br />four (24) hours after the time set forth on either the transmission report issued by the transmitting <br />facsimile machine or the electronic mail message, as applicable, addressed as set forth above. <br />For purposes of calculating these time frames, weekends, federal, state, County or City holidays <br />shall be excluded. <br />14. Counterparts. This Agreement may be signed in one or more counterparts, each of <br />which shall be deemed an original, but all of which together shall constitute the same Agreement. <br />Electronic signatures will have the same force and effect as original signatures. <br />15. Authori Each undersigned represents and warrants that its signature herein <br />below has the power, authority and right to bind their respective parties to each of the terms of <br />this Agreement, and shall indemnity City fully, including reasonable costs and attorney's fees, <br />for any injuries or damages to City in the event that such authority or power is not, in fact, held <br />by the signatory or is withdrawn. <br />16. Breach/Remedies. If the Developer fails to properly perform any of its <br />obligations hereunder, City shall be entitled to notify the Developer to rectify such breach and <br />perform its due obligations within a reasonable period of time. If Developer fails to rectify its <br />breach within the prescribed period of time, the City shall be entitled to seek any and all possible <br />remedies according to applicable laws, including but not limited to claiming for compensation. <br />Z ' •. <br />
