Program phone line script approval <br />B. Operations Set Up <br />1. Initially Health Dialog will participate in planning and organizing day-to-day <br />operations. <br />2. Client will provide an internal manager to coordinate set-up work. <br />3. Client will designate appropriate cross -functional implementation teams and <br />provide local staff to participate in planning and implementation as necessary. <br />4. Client and Health Dialog will jointly staff a team to lead implementation and to <br />transition into an ongoing role. Initial members of this team are typically those <br />leading the implementation efforts on behalf of both organizations, and longer <br />term the team typically includes key members of Health Dialog's Account <br />Management Team and Client staff responsible for ongoing management of <br />Health Dialog Services. <br />VI. Account Management Services <br />Account management services include: <br />1. An Account Management Team assigned to work with Client; <br />2. Coordination of all service implementation activities; and <br />3. Meetings, as needed, to support and oversee Nurse Line. <br />Client will provide a primary account contact person, to work closely with the Health <br />Dialog Account Management Team on an ongoing basis to coordinate overall service <br />delivery activities. <br />VII. Fees <br />The fees to be paid by Client to Health Dialog, for the period beginning on the NL <br />Effective Date and thereafter, for the Health Dialog Services provided pursuant to this <br />Work Order #1 are as follows: <br />1. Implementation Fee: Upon execution of this Work Order #1, Client shall pay <br />Health Dialog a one-time implementation fee of $3,000.00. <br />Monthly Fees. A minimum monthly fee of $18,900.00 ("Minimum Monthly <br />Fee") shall apply during the Term of this Agreement. Beginning on the NL <br />Effective Date, and continuing for as long as the Health Dialog Services are <br />delivered pursuant to this Work Order #1, Client will pay to Health Dialog a <br />monthly fee ("Monthly Fee") for each month that services are to be provided <br />(a "Service Month"), consisting of the total of the Minimum Monthly Fee, any <br />Total GA Mailer Fees (defined in Section VI1.3 below)„ and any Per -Call <br />Overage Fees (defined in Section VI1.5 below).
