ANSI; ; E NOT ON FILE <br />WOi ; r; MAY NOT PROCEED <br />a CLERK OF roi wrn <br />A-2017-377-02 <br />DATE: <br />ci FI9 <br />I' AMENDMENT TO AGREEMENT WITH PROPERTY REGISTRATION <br />4_ �6 1� %ac�p� e lCHAMPIONS, LLC, TO ADMINISTER FORECLOSED, ABANDONED <br />Ut Y d� t WIU AND VACANT PROPERTY REGISTRATION PROGRAM <br />THIS FIRST AMENDMENT to the above -referenced agreement is entered into on October 1, <br />2020, by and between Property Registration Champions, LLC, a Florida limited liability company, <br />aka "ProChamps" ("Consultant"), and the City of Santa Ana, a charter city and municipal <br />corporation organized and existing under the Constitution and laws of the State of California <br />("City"), collectively referred to as the "Parties". <br />RECITALS <br />A. The Parties entered into Agreement No. A-2017-377, dated December 19, 2017, by which <br />Consultant agreed to assist with the administration, registration, and maintenance of abandoned <br />and defaulted mortgage properties and collection of the City's foreclosed vacant property <br />registration fee ("Agreement"). The original term of the Agreement was for a two-year term <br />until December 18, 2019, with the Parties agreeing to exercise the first of two (2) options to <br />extend the term of the Agreement for a one (1) year period until December 18, 2020. The <br />Agreement is current and in effect. <br />B. On September 1, 2020, the City Council adopted Ordinance No. NS-2993, amending the City's <br />municipal code relating to the registration and maintenance of abandoned, vacant, and/or <br />defaulted mortgage properties. The Ordinance goes into effect on October 1, 2020. <br />C. On September 15, 2020, the City Council adopted a resolution to amend the City's foreclosure, <br />abandoned, and vacant property registration fees for fiscal year 2020-2021. <br />D. Due to these changes in the City's municipal code and fees, the Parties now wish to amend the <br />scope of service, compensation, and exercise the final one (1) year option to extend the term <br />of the Agreement. <br />The Parties hereby agree as follows: <br />1. Section 1, Scope of Services, is amended to include the Scope of Services updated on August <br />13, 2020, attached hereto to this First Amendment and identified as Exhibit A-1. <br />2. Section 2, Compensation, is amended to recognize the City's adoption of a resolution <br />regarding the City's foreclosure, abandoned, and vacant property registration fees for fiscal year <br />2020-2021 and to costs as detailed in Exhibit A-1 to this First Amendment. <br />3. Section 3, Term, is amended to extend the time period of the Agreement for a final one year <br />period through December 18, 2021. <br />4. Except as modified by this First Amendment, all terms and conditions of the Agreement shall <br />remain in full force and effect. <br />#62107v1 <br />
