Any notice of a change of address shall be delivered in the same manner as any other notice provided herein. Notice by mail shall be effective three (3) days after mailing by the above -described procedure. 13. MISCELLANEOUS PROVISIONS a. Vendor covenants that it presently has no interest, and shall not have any interest, direct or indirect, which would conflict in any manner with the performance of services required hereunder. b. Vendor certifies that it will not discriminate against any employee or applicant for employment because of race, religious creed, color, national origin, ancestry, physical disability, mental disability, medical condition, martial status, sex or age, in compliance with Government Code 12900, et seq. Vendor agrees to take affirmative action to insure that applicants are employed, and that employees are treated during employment, without regard to their race, religious creed, color, national origin, ancestry, physical disability, mental disability, medical condition, marital status, sex or age. c. The invalidity in whole or in part of any provision of this Agreement shall not void or affect the validity of any other provision of this Agreement. d. This Agreement shall be governed by and construed in accordance with the laws of the State of California, with venue in Orange County. e. Each undersigned represents and warrants that its signature hereinbelow has the power, Agency and right to bind their respective parties to each of the terns of this Agreement, and shall indemnify Agency fully, including reasonable costs and attorney's fees, for any injuries or damages to Agency in the event that such Agency or power is not, in fact, held by the signatory or is withdrawn. f. All Exhibits referenced herein and attached hereto shall be incorporated as if fully set forth in the body of this Agreement. [Signatures on following page]
