RESOLUTION NO. 2020-090 <br />A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF <br />SANTA ANA APPROVING A DISPOSITION AND <br />DEVELOPMENT AGREEMENT BETWEEN THE CITY OF <br />SANTA ANA AND CARIBOU INDUSTRIES, INC. FOR THE <br />PROPERTY GENERALLY LOCATED AT 201 WEST 3RD <br />STREET, SANTA ANA, CALIFORNIA (APN 398-264-13) <br />BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF SANTA ANA AS <br />FOLLOWS: <br />Section 1. The City Council of the City of Santa Ana hereby finds, determines <br />and declares as follows: <br />A. The City owns that certain real property generally located at 201 West Third <br />Street, Santa Ana, California 92701, and as more particularly described in the legal <br />description(s) attached to this Resolution as Exhibit "A" of the "Disposition and <br />Development Agreement" attached hereto as Exhibit "A" and depicted as APN 398-264- <br />13 (the `Property"). <br />B. On September 16, 2014, the City Council unanimously directed the <br />Planning and Building Agency to release a Request for Qualifications for the Third and <br />Broadway Development Project ("RFQ"). A hotel was one of the components the City <br />Council desired and the request for a hotel was listed in the RFQ. <br />C. The City received five proposals, but only one proposal, by Caribou <br />Industries, Inc., included a hotel component. <br />D. The Development and Transportation Council Committee was presented <br />the Proposals, and directed staff to contact all of the development firms that had submitted <br />proposals and provide them a second opportunity to submit new proposals that would <br />include a hotel component. <br />E. Four of the development firms resubmitted proposals. Only one of the four, <br />Caribou Industries, Inc. included a hotel component. <br />F. On April 27, 2017, City and Developer entered into an Exclusive Negotiating <br />Agreement to discuss proposed terms for the disposition of the City Property and <br />development of the proposed mixed -use hotel and commercialfretail project on the City <br />Property and the Developer Property. <br />G. On July 5, 2017, the Parties entered into a First Amendment to the <br />Exclusive Negotiation Agreement, and on January 11, 2019, the Parties entered in to a <br />Second Amended and restated Exclusive Negotiation Agreement (No. A-2018-002) <br />which expired on its own terms on April 28, 2019. <br />Resolution No. 2020-090 <br />Page 1 of 6 <br />
