LE <br />V%ONORK MAY NO <br />ROCEI <br />URANCE ON <br />�ED <br />4A) CLERK OF COUNCIL <br />DATE: <br />N-2020-209 <br />AGREEMENT WITH PALEOWEST, LLC TO PROVIDE <br />= CtJ �(Ka*lio kk..y cS)�76ON-CALL CULTURAL RESOURCES SERVICES <br />THIS AGREEMENT is made and entered into this 20th day of November, 2020 by and between <br />PaleoWest, LLC., ("Consultant"), and the City of Santa Ana, a charter city and municipal <br />corporation organized and existing under the Constitution and laws of the State of California <br />("City"). <br />RECITALS <br />A. The City desires to retain a Consultant having special skill and knowledge in the field of <br />Cultural Resources Services to provide said services on an on -call basis for the Public <br />Works Agency. <br />B. Consultant represents that Consultant is able and willing to provide such services to the <br />City. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional contracting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />a. Consultant shall perform the tasks and obligations including all labor, materials, <br />tools, equipment, and incidental customary work required to fully and adequately <br />complete the services described and set forth for the transfer of human remains, <br />osteological analysis, and reburial of human remains proposal, dated November 9, <br />2020, and provided in the Scope of Services identified as Exhibit A, attached hereto <br />and incorporated by reference. <br />b. Consultant shall provide additional on -call services for the City as detailed in <br />Exhibit A and based on the Consultant's qualifications and expertise as provided in <br />Exhibit A. <br />C. During the term of this Agreement, City may provide to Consultant one or more <br />written work orders, change orders, delivery tickets, or other instruments, requests <br />or established procedures with Consultant, which shall act to require Consultant to <br />supply or perform those services detailed in Exhibit A. Each request, regardless of <br />form, shall be deemed a work/change order governed by and subject to the terms <br />and conditions of this Agreement and approved in writing by the City Manager and <br />the City Attorney. <br />Page 1 of 9 <br />
