AGREEMENT TO PROVIDE TREE MAINTENANCE SERVICES <br />THIS AGREEMENT is made and entered into this 17th day of November, 2020 by and between <br />West Coast Arborists, Inc. ("Contractor"), and the City of Santa Ana, a charter city and municipal <br />corporation organized and existing under the Constitution and laws of the State of California <br />("City"). <br />RECITALS <br />A. In order to preserve the integrity and health of the Santa Ana Urban Forest, the City <br />desires to retain a Contractor having special skill and knowledge in the field of tree <br />maintenance for the maintenance of approximately 50,000 parkway and street <br />median trees, to be overseen by the Maintenance Service Division of the Public <br />Works Agency. <br />B. The City currently has an agreement with Contractor for these services. This <br />agreement expires on June 30, 2021. <br />C. Based on the City's level of satisfaction with Contractor's performance, the City <br />wishes to enter into another agreement with Contractor for tree maintenance <br />services without competitive bidding, as permitted by Section 2-807 of the Santa <br />Ana Municipal Code. <br />D. Section 2-807(d) exempts from competitive bidding purchases from vendors <br />whose names are on current established lists and have been awarded the same type <br />of contract by another public agency following a competitive bidding process <br />determined by the City's purchasing manager to be substantially equivalent to the <br />City's. <br />E. On December 4, 2019, the City of Rancho Cucamonga awarded an agreement (No. <br />19-187) to Contractor for street tree maintenance services after a competitive <br />bidding process that was determined by the City's purchasing manager to be <br />substantially equivalent to the City's process. <br />F. Accordingly, the City wishes to enter into an agreement with Contractor for tree <br />maintenance services based on the same scope of services and pricing. In <br />undertaking the performance of this Agreement, Contractor represents that it is <br />knowledgeable in its field and that any services performed by Contractor under this <br />Agreement will be performed in compliance with such standards as may reasonably <br />be expected from a professional contracting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />Page 1 of 9 <br />
