® A-2020-158-08-02 SECOND AMENDMENT TO AGREEMENT BETWEEN THE CITY OF SANTA ANA AND MEDICA TESTING GROUP, INC. FOR USE OF CORONAVIRUS AID, RELIEF, AND ECONOMIC SECURITY ACT (CARES ACT) FUNDS This SECOND AMENDMENT TO AGREEMENT BETWEEN THE CITY OF SANTA ANA AND MEDICA TESTING GROUP, INC. FOR USE OF CORONAVIRUS AID, RELIEF, AND ECONOMIC SECURITY ACT ("CARES ACT") FUNDS ("Second Amendment') is made and entered into as of November 25, 2020 ("Effective Date"), by and between the CITY OF SANTA ANA, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ("CITY"), and MEDICA TESTING GROUP, INC., a California corporation ("SUBRECIPIENT" or "CONTRACTOR"). City and Subrecipient may be referred to hereinafter collectively as the "Parties" and individually as a "Party". RECITALS Reference is made to the following facts that constitute the background of this Second Amendment: A. The Parties hereto entered into tho certain Agreement Between the City of Santa Ana and Medica Testing Group, Inc. For Use of CARES Act Funds dated as of August 16, 2020, as amended by that First Amendment dated effective October 9, 2020 (collectively, "Agreement'), in which Subrecipient agreed to administer and conduct COVID-19 virus testing for up to 32,000 Santa Ana residents and/or students currently enrolled in Santa Ana College or any other post -secondary college, university, or trade school with a campus in Santa Ana. B. Pursuant to the Agreement, the Term is set to expire on November 30, 2020, and by way of this Second Amendment, the Parties wish to further extend the Term. NOW, THEREFORE, in consideration of the mutual promises contained herein, and for other good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, City and Subrecipient hereby agree as follows: Incorporation of Recitals; Definitions. The Recitals hereto are true and correct as of the Effective Date, and are incorporated herein by this reference as part of this Second Amendment. Capitalized terms used and not otherwise defined herein have the meanings set forth in the Agreement, as amended by this Second Amendment. All references to Sections, Exhibits and/or Schedules are to Sections, Exhibits and/or Schedules of the Agreement unless expressly stated otherwise.
