1 <br />ptiQ�e ;,, ii WINCE NOT ON FILE A-2020-240 <br />®�G 2, 09K MAY NOT PROCEED CONSULTANT AGREEMENT <br />CLERK OF COUNCIL CITY OF SANTA ANA <br />p.pR�sr��ncs;l ;w ATE: <br />CV vos)rhis AGREEMENT is made and entered into this Ist day of December, 2020 by and <br />between the City of Santa Ana, California, a charter city and municipal corporation organized and <br />existing under the Constitution and laws of the State of California, (hereinafter "CITY") and <br />Moore Iacofano Goltsman Incorporated doing business as MIG (hereinafter "CONSULTANT"). <br />RECITALS <br />A. On August 6, 2020, the CITY released a Request for Proposal ("RFP") for preparation of <br />the Parks, Recreations and Community Services Agency ("PRCSA") ten (10) year Master <br />Plan. On August 31, 2020, the City released Addendum 1 for the RFP. <br />B. The CITY received six (6) proposals, which were reviewed and evaluated by an evaluation <br />committee. Consultant received the top score and PRCSA staff are recommending that the <br />CITY award the Agreement for preparation of the PRCSA Master Plan to Consultant. <br />C. The CITY desires to retain a consultant having special skill and knowledge in the field of <br />preparing a Parks, Facilities and Open Space Master Plan. <br />D. CONSULTANT represents that CONSULTANT is able and willing to provide such <br />services to the CITY. <br />E. In undertaking the performance of this Agreement, CONSULTANT represents that it is <br />knowledgeable in its field and that any services performed by CONSULTANT under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terns and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />CONSULTANT shall perform during the term of this Agreement, the tasks and obligations <br />including all labor, materials, tools, equipment, and incidental customary work required to fully <br />and adequately complete the services described and set forth in Scope of Services - Exhibit A, <br />attached hereto and incorporated by reference. The Scope of Services shall include a Schedule <br />for the Delivery of Services, Exhibit B, attached hereto and incorporated by reference. <br />2. COMPENSATION <br />CITY agrees to pay, and CONSULTANT agrees to accept as total payment for its services <br />for CITY, the rates and charges identified in the Budget - Exhibit C, attached hereto and <br />incorporated by reference. The total sum to be expended pursuant to this Agreement shall not <br />exceed one hundred sixty thousand and six hundred dollars and no cents ($160,600:00) for the <br />term of the Agreement, which includes a base cost of $133,834.00 and a contingency of twenty- <br />six thousand seven hundred and sixty-six dollars and zero cents ($26,766.00) to be used at the <br />City's sole discretion.
