A-2020-158-02A <br />1 <br />FIRST AMENDMENT TO AGREEMENT BETWEEN THE <br />�MSflh)Clniill+W�„F CITY OFSANTAANAAND MANAGED CAREER <br />SOLUTIONS FOR USE OF CORONAVIRUS AID, RELIEF, <br />AND ECONOMIC SECURITY ACT (CARES ACT) FUNDS <br />This FIRST AMENDMENT TO AGREEMENT is hereby made and entered into <br />this 16"' day of December 2020, by and between the City of Santa Ana, a charter city and <br />municipal corporation organized and existing under the Constitution and laws of the State of <br />California ("CITY"), and Managed Career Solutions, SPC, a California social purpose <br />corporation ("SUBRECIPIENT"). <br />RECITALS: <br />A. The parties entered into that certain Agreement A-2020-158-02, dated August 10, 2020, <br />(hereinafter "said Agreement") by which SUBRECIPIENT (also referred to in Exhibits <br />A through F of said Agreement as "CONTRACTOR" and/or "SUBRECIPIENT") <br />having special skill and knowledge in the field of utilizing federal funds on behalf of <br />local public agencies in the furtherance of their legitimate governmental aims as <br />authorized by federal statute has agreed to perform such services for the City. <br />B. The parties desire to amend the Scope of Services, Term, and Amount of Grant Funding <br />clauses of said Agreement. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to <br />the terms and conditions hereinafter set forth, the parties agree as follows: <br />The parties hereto now desire to amend Section I, A, B, and C of said Agreement together <br />with Exhibits A, B, and C to read as follows: <br />I. CARES ACT PROGRAM PROVISIONS <br />A. Scope of Work. SUBRECIPIENT shall be responsible for the specific tasks <br />and services of said program, and agrees to administer said program in compliance with the <br />size of the grant, the eligibility requirements, the eligible expenses for said program, the <br />disbursement of funds, the required information/documents to qualify for grant award, and the <br />project expectations as described in the hereby amended Scope of Work attached hereto as <br />Exhibit A. SUBRECIPIENT's failure to perform as required may, in addition to other <br />remedies set forth in this Agreement, result in readjustment of the amount of funds for said <br />program or termination of this Agreement. <br />B. Term of Agreement. The term of said Agreement shall continence on August <br />10, 2020 and continue through June 30, 2021 ("Term"), unless terminated earlier pursuant to <br />the terms of this Agreement. SUBRECIPIENT shall administer said program during said Term <br />pursuant to the Project Schedule attached hereto as Exhibit C. This Agreement shall also cover <br />any and all services provided by the SUBRECIPIENT to the CITY since the date the CARES <br />Act Funds were awarded to the CITY that are not subject to a separate agreement between <br />CITY and SUBRECIPIENT.
