applicable standards of the industry for such Work; and, (ii) is satisfactory to City. Licensee shall <br />contract with a qualified painter ("Contractor"). Contractor shall be responsible for security, <br />maintenance, and cleanliness of the Property during Work. City shall at all times retain the right <br />to stop Work, order the Contractor off of the Property, or to take such other actions as deemed <br />reasonably necessary to ensure the safety of workers or equipment. <br />7.1. Completion of Work. Licensee agrees to commence the Work provided <br />herein immediately upon City issuance of any and all required approvals and permits, and <br />to continue in a due and diligent, workmanlike manner, without interruption. The Project <br />shall be deemed complete when Licensee delivers a certificate to City stating that, to the <br />best of the Licensee's knowledge based upon the representation of contractors, <br />subcontractors, architects, engineers, vendors or other consultants, the Project has been <br />completed. The Licensee shall certify to City that the Project is complete and in substantial <br />conformity with the Plans as approved by City. Unless otherwise requested by City, upon <br />completion of any Work, Licensee shall restore the surrounding Property to its condition <br />immediately preceding the commencement of such Work. <br />7.2. Ownership of Improvements. All improvements constructed or placed on <br />or within the Property by Licensee, including, but not limited to, electrical and other utilities, <br />listed or not, shall, upon the completion of Work, installation or placement within the <br />Property, be free and clear of all liens, claims and liability for payment for labor and material <br />and shall be owned by and considered the property of the City. <br />8. Maintenance and Repair of Project. Licensee, at Licensee's sole expense, shall <br />maintain, repair and renew the Project in a condition satisfactory to City, and shall perform all <br />maintenance and clean-up of the Property as necessary to keep the Property in good order and <br />condition, subject to City's prior approval and satisfaction, and in accordance with applicable City <br />codes. Licensee's responsibility and obligation to maintain and repair the paint on the subject <br />Property shall survive the expiration or termination of this Agreement. <br />8.1. Licensee's Default. In the event that Licensee fails, neglects or refuses to <br />maintain or make repairs or replacements as required by this Agreement, City shall notify <br />Licensee in writing of such failure or refusal. In the event City determines in its sole discretion <br />that such repairs or replacements are necessary for the health and safety of persons on the <br />Property, any and all use of the Property shall cease until such repairs or replacements are <br />completed to the satisfaction of City. Should Licensee fail or refuse to correct such default <br />within ten (10) days of receipt of such written notice from City, City may, but shall not be <br />required to, itself or by contract, undertake the necessary maintenance, repair or replacements; <br />and the cost thereof, including but not limited to the cost of labor, materials and equipment <br />and procurement of insurance, plus an administrative fee in the amount of fifteen percent <br />(15%) of the sum of such costs, shall be paid by Licensee to City within ten (10) days of <br />Licensee's receipt of a statement of such costs from City. Any such maintenance, repair or <br />replacement by or on behalf of City shall not be deemed to be a waiver of Licensee's default <br />under this Agreement, and shall not in any way impair, prevent or restrict City from exercising <br />any of its rights or remedies set forth in this Agreement or otherwise provided at law. <br />6 <br />
