Carvalho CLERK OF THE COUNCIL Daisy Gomez Pursuant to Article IV, Section I ("Termination"), of Agreement No. A-2021-001-01, entered between 360 Clinic, Inc., and the City of Santa Ana, dated January 25, 2021 ("Agreement"), the City hereby provides the requisite fourteen (14) days' notice of the City's termination of the Agreement effective May 31, 2021. Pursuant to the termination of the Agreement, the City is requiring repayment of any unspent funds advanced to 360 Clinic, Inc. at the commencement of the Agreement. The City will allow fifteen (15) days from the date of this letter for 360 Clinic, Inc. to reconcile its billing with any third party vendors, as necessary, to confirm, in writing, the final amount to be refunded to the City. The refunded amounts will be due from 360 Clinic, Inc. to the City within forty-five (45) days of the termination date. Although the City is pursuing the termination of this Agreement without cause, and thus providing the extended notice period, the City reserves its right to pursue any and all remedies applicable for any alleged breaches of the Agreement by 360 Clinic, Inc., including, but not limited to, the immediate termination of the Agreement and the recovery of any funds not appropriately expended pursuant to the terms of the Agreement. All other terms and conditions of said Agreement remain unchanged and in full force and effect through the termination date, or longer for those terms that survive the termination of the Agreement.
