Notification of Withdrawal of Proposal <br />Proposals may be modified or withdrawn prior to the date and time specified for proposal <br />submission by an authorized representative of the Professional Consultant/Vendor by formal <br />written notice. Proposals submitted will become the property of the City after the proposal <br />submission deadline. <br />Contractual Obligations <br />The City of Santa Ana will require certain contractual obligations, regardless of any agreements <br />between the Professional Consultant/Vendor and the City of Santa Ana. These terms will include, <br />but are not limited to: <br />1. Requirements to Meet All Provisions - Each Individual or firm submitting an offer shall <br />meet all the terms and conditions of the RFP. By virtue of Its offering submittal, the <br />Professional Consultant/Vendor acknowledges agreement with and acceptance of all <br />provisions of the RFP specifications. <br />2. Inclusion of Offering - The offering submitted In response to this RFP will be required <br />to be included as part of the final agreement with the selected Professional <br />Consultant/Vendor, <br />3. Accountability - The selected Professional Consultant/Vendor will be required to <br />provide status meetings and submit status reports covering such Items as progress <br />of work being performed, milestones attained, resources expended, problems <br />encountered and corrective action taken. <br />4. Costs - All costs must be detailed specifically In the project cost planning section of <br />the offering; no additional charges (i.e., for transportation, out-of-pocket expenses, <br />etc.) will be allowed unless so specified in the offering. <br />S. Ability to Perform - The selected Professional Consultant/Vendor warrants that it <br />possesses, or has arranged through subcontractors, all capital and other equipment, <br />labor, materials, and licenses necessary to carry out and complete the work <br />hereunder in compliance with any and all federal, state, county, City, and special <br />district laws, ordinances, and regulations, <br />6. Laws to be Observed - The selected Professional Consultant/Vendor shall keep Itself <br />fully informed of and shall observe and comply with all applicable state and federal <br />laws and City of Santa Ana ordinances, regulations, and adopted codes during its <br />performance of the work. <br />7. Payment of Taxes - The offering costs shall include full compensation for all taxes <br />that the selected Professional Consultant/Vendor Is required to pay, Including ty <br />business license taxes. <br />8. Permits and Licenses - The selected Professional Consultant/Vendor shall procure all <br />permits and licenses, pay all charges, fees, and taxes, and give all necessary notices. <br />9. Selection - The final award of an agreement or agreements Is subject to approval by <br />the elected officials governing the awarding body. <br />10, Subcontractors - The City reserves the right to reject, replace, and approve any and <br />all subcontractors. All subcontractors shall be identified In the response to the RFP <br />and the City reserves the right to reject any subcontractor(s).
