EMPLOYMENT PRACTICES LIABILITY COVERAGE FORM

<br />SECTION VIII - DUTIES IN THE EVENT OF CLAIM; DEFENSE AND SETTLEMENT
<br />A. We shall have the right and duty to defend "claims" covered under this Coverage Part, even if such "claim" is
<br />groundless, false or fraudulent, provided that:
<br />1. the "insureds" give notice to us in accordance with the applicable notice provisions; and
<br />2. such "claim" does not involve allegations, in whole or in part, of a "wage and hour violation".
<br />For any "claim" involving allegations, in whole or in part, of a "wage and hour violation", it shall be the duty of the
<br />"insureds", and not our duty, to defend such "claim".
<br />B. If we have the duty to defend a "claim", our duty to defend such "claim" shall cease upon exhaustion of any
<br />applicable Limit of Liability.
<br />C. The "insureds" shall not admit or assume any liability, make any settlement offer or enter into any settlement
<br />agreement, stipulate to any judgment, or incur any "claim expenses" regarding any "claim" without our prior
<br />written consent, such consent not to be unreasonably withheld. We shall not be liable for any
<br />admission, assumption, settlement offer or agreement, stipulation, or "claim expenses" to which we have not
<br />consented.
<br />D. We shall have the right to associate ourself in the defense and settlement of any "claim" that appears reasonably
<br />likely to involve this Coverage Part. We may make any investigation we deem appropriate in connection with any
<br />"claim". We may, with the written consent of the "insureds", settle any "claim" for a monetary amount that we
<br />deem reasonable.
<br />E. The "insureds" shall give to us all information and cooperation as we may reasonably request. However, if we are,
<br />in our sole discretion, able to determine coverage for cooperating "insureds", the failure of one "insured person" to
<br />cooperate with us shall not impact coverage provided to cooperating "insureds".
<br />F. With respect to a covered "claim" for which we do not have the duty to defend, we shall advance "claim expenses"
<br />in accordance with Section VIII I. that we believe to be covered under this Coverage Part until a different
<br />allocation is negotiated, arbitrated or judicially determined.
<br />G. Required Notice to Us
<br />As a condition precedent to coverage under this Coverage Part, the "insureds" shall give us written notice of any
<br />"claim" as soon as practicable after a "notice manager" becomes aware of such "claim", but in no event later than:
<br />1. if this Coverage Part expires or is otherwise terminated without being renewed with us, ninety (90) days after
<br />the effective date of said expiration or termination; or
<br />2. subject to SECTION V, the expiration of the Extended Reporting Period, if applicable;
<br />provided, however, that if the Coverage Part is cancelled for non-payment of premium, the "insured" will give us
<br />written notice of such "claim", prior to the effective date of cancellation.
<br />However, with regard to any "employment practices claim" which is brought as a formal administrative or
<br />regulatory proceeding, including, without limitation, a proceeding before the Equal Employment Opportunity
<br />Commission or similar governmental agency, commenced by the filing of a notice of charges, formal investigative
<br />order or similar document, as a condition precedent to coverage under this Coverage Part the
<br />"insureds" shall give us written notice of any "claim" as soon as practicable after a "notice manager" becomes
<br />aware of such "claim", but in no event later than:
<br />3. if this Coverage Part is renewed, no more than 180 days after a "notice manager" becomes aware of such
<br />"claim"; or
<br />4. if this Coverage Part expires or is otherwise terminated without being renewed with us, ninety (90) days after
<br />the effective date of said expiration or termination; or
<br />5. subject to SECTION V, the expiration of the Extended Reporting Period, if applicable;
<br />provided, if the Coverage Part is cancelled for non-payment of premium, the "insured" will give us written notice of
<br />such "claim", prior to the effective date of cancellation.
