If permitted by the laws of the state where the Licensee is <br />located, (1) this Agreement shall be governed and construed by the laws of the State of California <br />without regard to its conflict of laws provisions; (ii) the Licensee agrees to submit to the exclusive <br />Personal Jurisdiction of the County of Orange, California ; and (III) the Licensee waives any objections <br />and affirmative defenses as to the personal jurisdiction of a competent court in Orange County, <br />California that would have personal jurisdiction or the venue of said proceedings and the competent <br />courts located therein that would have subject matter jurisdiction over the dispute that arises out of <br />this Agreement. If the state where the Licensee is located requires that its state law apply to this <br />Agreement, then the laws of the state where the Licensee is located shall apply to this Agreement. <br />Licensee agrees that regardless of any statute to the contrary, any claim or cause of action Licensee <br />has against Bibliol-abs arising out of or related to use of the Application or any Collection must be <br />filed within one (1) year after such claim or cause of action arose or it shall be forever barred. <br />e. Notices.
