1. SCOPE OF SERVICES <br />Consultant shall perform during the term of this Agreement, the tasks and obligations <br />including all labor, materials, tools, equipment, and incidental customary work required to fully <br />and adequately complete the services described and set forth in the Scope of Work attached hereto <br />as Exhibit A and incorporated herein by reference. <br />2. COMPENSATION <br />a. City agrees to pay, and Consultant agrees to accept as total payment for its services for <br />City, the rates and charges identified in Exhibit A. The total sum to be expended under <br />this Agreement shall not exceed $13,360 during the term of this Agreement. <br />b. Payment by City shall be made within forty-five (45) days following receipt of proper <br />invoice evidencing work performed, subject to City accounting procedures. Payment <br />need not be made for work which fails to meet the standards of performance set forth <br />in the Recitals which may reasonably be expected by City. <br />3. TERM <br />This Agreement shall commence on the date first written above and continue through April <br />29, 2021, unless terminated earlier in accordance with Section 14 below, or pursuant to the terms <br />of the City's resolution proclaiming a local emergency. This Agreement shall also cover any and <br />all services provided by the Consultant to the City since January 1, 2021, through the effective <br />date, above. The Term of this Agreement may be extended by a writing executed by the City <br />Manager and the City Attorney. <br />4. STATE HHAP-COVID AGREEMENT <br />A. City entered into State HHAP-COVID Agreement Number 20-HCFC-00019 with <br />the State of California receiving and recognizing $1,385,224,15 in HHAP-COVID grant funds to <br />be used by City to invest in COVID-19 prevention and containment efforts for temporary shelters, <br />including but not limited to medically indicated services and supplies, such as testing and <br />handwashing stations, and enhancements to existing shelter facilities. A true and correct copy of <br />the State HHAP-COVID Agreement is attached hereto as Exhibit B and incorporated herein by <br />this reference. Consultant has been made aware of the State HHAP-CO VID Agreement and agrees <br />to comply with all the conditions of the State HHAP-COVID Agreement and the applicable State <br />requirements governing the use of HHAP-COVID grant funds. <br />B. Pursuant to the State HHAP-COVID Agreement, Consultant is required to: <br />Perform the work in accordance with Federal, State and Local housing and <br />building codes, as applicable. <br />ii. Maintain at least the minimum State -required worker's compensation for <br />those employees who will perform the work or any part of it. <br />Page 2 of 10 <br />
