9URANCE NOT ON FILE 1ORK MAY NOT PROCEED APR 2, 2 2021 CLERK OF COUNCIL DATE: N-2021-078 AGREEMENT WITH PACIFIC SYMPHONY FOR YOUTH PROGRAMS AND SERVICES Q12Cs,a u) (yip ��iF�r p THIS AGREEMENT is made and entered into this 29 day of March 2021 b and y between Pacific Symphony, a California non-profit public benefit corporation ("Consultant'), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ("City"). RECITALS A. On November 6, 2020, the City released Request for Proposal No. 20-143 ("RFP") for youth programs and services through the City's Parks, Recreation and Community Services Agency to be financed by the City's Cannabis Public Benefit Fund. B. Many proposals were received and evaluated, including Consultant's proposal. Consultant was one of several vendors providing youth programs and services that was selected to provide services pursuant to the RFP. C. The City desires to retain a consultant having special skill and knowledge in the field of providing youth programs and services. D. Consultant represents that Consultant is able and willing to provide such services to the City. C. In undertaking the performance of this Agreement, Consultant represents that it is knowledgeable in its field and that any services performed by Consultant under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional provider in the field. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: 1. SCOPE OF SERVICES Consultant shall perform during the term of this Agreement, the tasks and obligations including all labor, materials, tools, equipment, and incidental customary work required to fully and adequately complete the services attached as Exhibit A to this Agreement, incorporated by reference and set forth as part of Consultant's proposal in response to RFP No. 20-143. Specifically, Consultant will hold Santa Ana Strings, musical skills learning program for students in grades 2-6 at the Boys and Girls Club of Santa Ana, 2. COMPENSATION a. City agrees to pay, and Consultant agrees to accept as total payment for its services, the rates and charges identified in Exhibit B. The total sum expended shall not to Page 1 of 9
